Out went what Armstrong calls “pure managers.” In came “player-coaches,” flat hierarchies capped at five layers, and “AI-native pods” that could include one-person teams directing agents that do the work of engineers, designers, and product managers.

“We are not just reducing headcount and cutting costs,” Armstrong wrote on X. “We’re fundamentally changing how we operate: rebuilding Coinbase as an intelligence, with humans around the edge aligning it.”

Layoffs economywide are relatively low. But inside tech, the AI layoff is the story of 2026. And Armstrong put his finger on something real: The org chart of the American corporation is under a kind of pressure that most companies have not yet figured out how to relieve.

Something is breaking inside the American corporation. Not the balance sheet, not the brand, not the technology stack—those are mostly fine. What’s breaking is harder to see on a slide deck and harder to fix with a budget line: the unwritten rules, shared assumptions, and organizational muscle memory that tell people how to behave, what to say, who to listen to, and what happens when you get it wrong.

Artificial intelligence didn’t create this tension. But it is making it impossible to ignore.

A sweeping new index from KPMG, built from surveys of 300 C-suite leaders, analysis of earnings calls from 177 publicly traded companies, and hard capital data across six industry groups, puts numbers to what many executives are quietly living. The verdict: 81% of executives said boards have raised expectations for their organizations’ adaptability. The organizations beneath them, in most cases, are not ready to meet it.

The report said conditions are no longer stable, with open trade, predictable regulation, inexpensive capital, and consistent labor markets all shifting simultaneously, redefining how CEOs and senior executives have to lead their organizations.

“Against this backdrop,” the report continued, “CEOs must understand how to rewire their organizations to keep pace with change.”

The survey shows a war inside big corporations as that rewiring is resisted at all levels.

The changing org chart of the 2020s

For most of the 20th century, the Fortune 500 org chart was a machine for execution. Decisions flowed down, information flowed up, and the hierarchy was the system. It was slow by design: Slow meant controlled, and controlled meant safe.

AI doesn’t work that way. It compresses timelines, flattens information asymmetries, and rewards organizations that can act before the picture is complete. The executives who built their careers in the old machine are now being asked to rewire it while it’s running.

Atif Zaim, KPMG’s deputy chair and U.S. managing principal, frames it as a factory floor reckoning.

“When electricity first came about … it wasn’t until much later that folks said, you can reorganize the entire factory—proximity to the boiler or proximity to the river or the water wheel is no longer important,” he told Fortune. Most large companies, he suggests, are still standing next to the boiler, acting as if they are still in the steam era when electricity is rewiring the factory floor.

Coinbase’s restructuring is one of the most explicit public expressions yet of this dynamic. By capping its hierarchy at five layers and increasing its employee-to-manager ratio to 15-to-1, Armstrong is making a structural bet the old command-and-control machine cannot survive the AI era. He is not alone: Meta’s new applied engineering team runs at a 50-to-1 ratio, and the broader “megamanager” trend has pushed the average manager’s span of control to 12.1 employees, up from 10.9 in 2024, according to Gallup.

Courtesy of KPMG U.S.

The KPMG data bears this out in sometimes uncomfortable detail. Only 30% of executives say their organization’s structures, roles, and processes can reconfigure quickly as business needs change. Only 24% identified more dynamic talent deployment as a key change made over the last year. The C-suite has embraced the language of transformation. The org chart hasn’t moved.

In a separate interview with Fortune that predated the KPMG index, Zak Kidd, an economist and cofounder of the organizational feedback startup Ask Humans, said he thinks the AI reorg will go further than most executives are prepared to admit. In his view, the management layer that most Fortune 500 org charts are built around is not just being challenged. It is structurally threatened.

“The future organization is just equity holders and essential workers with LLMs in between,” he said, adding agents will play a large role. “There’s really no need for the management function of human beings if large language models can do the discernment.”

The disconnect between executive expectation and organizational reality shows up in the numbers CFOs are watching most closely. A new survey by the Federal Reserve Bank of Richmond, cited by Apollo chief economist Torsten Slok, finds CFOs expect AI’s biggest impacts to fall on decision speed and accuracy, output per worker, and time spent on high-value tasks—in that order. Total employment, by their own projections, remains essentially unchanged. In other words, the C-suite expects AI to rewire how work happens inside the existing structure—without substantially reorganizing the structure itself. Kidd’s argument is this is exactly the wrong way to think about it.

The spending tells the real story

Follow the money and the culture war becomes concrete. Across every industry group in the KPMG index, executives report that increasing investment in new technology was the top action they took last year. They are nearly twice as likely to increase tech spending as to invest in employee training. Less than half say they find technology “very effective” at improving adaptability.

The math of that trade-off has a human cost. Four out of six industry groups in the index recorded year-over-year declines in hiring. Consumer retail shed headcount at a 7.9% rate. Health care, already strained, dropped 5.6%. Companies are simultaneously demanding more adaptability from their workforces and making those workforces smaller. The result: 46% of executives report burnout and change fatigue as an unintended consequence of their adaptability efforts.

The macro data is beginning to validate what the KPMG index measures at the organizational level. An AI disruption tracker published on April 13 by Morgan Stanley economists finds AI’s impact on the labor market is “narrow, early-stage, and largely visible in micro data rather than aggregate outcomes”—but the micro signals are pointed in one direction. Young workers in high-AI-exposure occupations have seen unemployment rise more sharply since 2023, and they are taking longer to find new jobs. Meanwhile, company earnings calls are increasingly referencing AI in the context of labor, with mentions of displacement rising faster than mentions of job creation. The macro picture looks stable. Beneath the surface, the adjustment is already underway.

“In times of disruption, workers need more training and support, not less,” the KPMG report states flatly. Almost no one is providing it. While 57% of leaders say improving performance and efficiency was a top priority last year, fewer than 10% say developing stronger workforce training programs was among their primary objectives.

Zaim has a theory about why.

“Changing human behavior is one of the hardest things you’re going to do,” he said, “especially in these organizations.”

Pointing out that KPMG itself is more than 150 years old (Fortune is a relatively spry 96), Zaim added, “You’ve got layers upon layers of lore and culture and muscle memory that has been built into, ‘Yeah, this is how we do things.’ A lot of this stuff is not written down anywhere. It’s not like you can go and change the policy and suddenly things change.”

The innovation trap

Here is where the white-collar culture war gets its most revealing data point. The industries most focused on innovation—most aggressive about new technologies, business model experimentation, and accelerating R&D—are not the most adaptable. The correlation is essentially zero.

Manufacturing and energy, which scores the highest strategic adaptability of any sector in the index at 71 out of 100, is not a sector known for radical reinvention. It adapts through disciplined scenario planning, centralized decision authority, and operational execution. Health care leads the overall index at 53—not because it innovates fastest, but because it scores consistently across culture, ecosystem, and strategy. TMT—the sector that most loudly evangelizes transformation—scores 41 on cultural adaptability, near the bottom.

Zaim invoked Kodak, a company that literally invented the digital camera and was destroyed by it anyway.

“Is there a risk that you are a leader, excellent in innovation, but somehow that diffusion, that adoption, that getting it into the rest of the organization didn’t happen because you didn’t have the culture for it?” The answer, the index suggests, is yes—and it is happening at scale, right now, inside some of the most sophisticated companies in the world.

Kidd said he sees such failures as symptomatic of something deeper—a fundamental misunderstanding of what AI actually does to organizational intelligence. He said he was skeptical of consulting firms and corporations that try to draw bright lines between what humans can do and what AI cannot. “Human skill capability ceiling is fixed,” he said, “whereas on the other side of the curve, it’s not fixed.” Any boundary you draw today, he said, is just a “sandcastle.”

The companies investing heavily in innovation while neglecting culture, he argued, are making the same category error: assuming the gap between human and machine capability is stable when it is, in fact, closing faster than most org charts can process.

The psychological safety gap

Beneath every data point in this report is a more fundamental question: Do the people inside these organizations feel safe enough to actually change?

The answer, in aggregate, is no. Just 9% of executives—across all industries—identify increased psychological safety as one of the behaviors their organization changed most in the past year.

Zaim said he has pushed CEOs on this directly, recalling one particular conversation with a CEO, years before AI, about transformation in general.

“He was agreeing vehemently—yes, you need a culture where people can bring up ideas. I said, ‘When was the last time you celebrated a failure?’ And the penny dropped instantly. He’s like, ‘You know what, Atif? You’re 100% correct. We just don’t do that,’” he said. It’s not about having a mindset where failure is good, Zaim clarified, but that risk-taking definitely is, and failures are a byproduct of that.

Kidd, who has spent months meeting with chief impact officers at major consulting firms and Fortune 100 companies as part of his own research, kept seeing versions of this reluctance to take risks, people who “see the org chart shifting underneath them in real time and are trying to figure out what the other side looks like.”

It’s understandable to want to distinguish human work from AI work, Kidd said, before concluding that was ultimately “pissing in the wind.” When the gap between human and machine capability closes, he added, the only durable advantage for any organization will be its culture. “When you remove the management buffer and hand execution over to AI, the remaining humans are no longer the engine—they are the steering wheel. if your culture is misaligned, the AI will just scale your dysfunction at light speed.”

Firms designing their cultures around a stable human-AI boundary, Kidd explained, are making a bet that the boundary will hold. The KPMG data suggests most of them are already losing that bet—they just haven’t looked at the score.

The board is watching

What’s different now is the pressure is structural, not optional. Boards have noticed. Eighty-one percent of executives say their boards or owners have raised expectations for organizational adaptability. Companies that pushed through transformation—that made the cultural and structural bets, not just the technological ones—saw 4.4 times higher shareholder returns and nearly triple the revenue growth of more passive peers. Leaders in organizations they describe as genuinely adaptable are 13 percentage points more likely to report revenue growth and to expect more of it.

Zaim acknowledged that the competitive threat is no longer abstract, agreeing that he’s heard anecdotes of three-person companies operating with a dozen AI agents, generating millions in revenue, chipping away at Fortune 500 business. “The price of knowledge, one could argue, has come down,” he said. “And therefore it allows you to go into businesses and challenge established businesses with a lot less initial capital expense than has ever been the case.”

“I don’t want to be dramatic and say it’s life or death,” Zaim said. Then he paused. “But I think it is life or death for some.”

The tech industry has spent the last couple years debating whether artificial intelligence will actually eliminate jobs at scale or simply be used as an excuse for companies to engage in mass layoffs.

Jack Dorsey, co-founder and CEO of the Square parent, announced Thursday that his company is cutting about 40% of its workforce, reducing head count from over 10,000 to just under 6,000. And he was explicit about the reason, telling investors on Block’s earnings call that “intelligence tools” have fundamentally changed what it means to build and run a company.

Dorsey suggested the rest of corporate America is about to follow suit, predicting that the majority of businesses will reach the same conclusion within a year.

“Our business is strong,” Dorsey wrote in a post on X. “Gross profit continues to grow, we continue to serve more and more customers, and profitability is improving.
Investors instantly embraced the message, sending the stock up about 25% in extended trading on Thursday, though the gains were muted a bit on Friday, with shares closing up 17%.

Block also provided an earnings forecast for the year that sailed past estimates, even as results for the past quarter were largely inline with expectations.

Morgan Stanley analysts upgraded Block to overweight, writing that AI-driven efficiencies should deliver increased profitability. Analysts at Goldman Sachs raised their price target, noting that the cuts would vault Block from middle of the pack to near the top in fintech workforce productivity. Wells Fargo kept its buy rating, calling the quarter “chock full of positive surprise.”

Block expects to take a $450 million to $500 million hit for restructuring costs, largely front-loaded in the first quarter, with the bulk of the cuts done by the middle of the year. Dorsey said he chose to act all at once rather than phase the cuts.

“Repeated rounds of cuts are destructive to morale, to focus, and to the trust that customers and shareholders place in our ability to lead,” he wrote.

Earlier this week, Citrini Research published a thought experiment that went viral titled, “The 2028 Global Intelligence Crisis” — a hypothetical memo set two years in the future warning that AI-driven layoffs could trigger a negative feedback loop of white-collar displacement, collapsing consumer spending and systemic financial damage.

While the report found its share of critics, notably from Citadel Securities, the argument that AI-based head count reductions would first show up at strong, profitable software companies has a real-world case study.

Block says it’s now aiming for north of $2 million in gross profit per head — roughly quadruple where that figure sat before Covid. Goldman noted that the cuts appear concentrated in engineering roles rather than revenue-generating or regulatory positions — consistent with Block leaning on its in-house AI platform, Goose, to replace that work.

Still, not everyone is buying Dorsey’s explanation.

Block ballooned from about 4,000 employees in 2019 to nearly 13,000 during the pandemic, a fact that was cited by skeptics across social media after the cuts were announced. Dorsey acknowledged the overhiring on X, calling it a mistake he corrected in mid-2024. Goldman noted that the reduction effectively takes Block’s head count back to 2020 levels.

Dorsey previously went on another hiring spree when he ran Twitter. Elon Musk slashed roughly 80% of Twitter’s payroll within six months of buying the company, later renamed X, in 2022.

Analysts at Piper Sandler reiterated their underweight rating on Block after Thursday’s report, emphasizing that the company’s transaction losses increased to 18% of gross profit in the period from 14% in the prior quarter and 11% a year earlier.

“Bottom line, while the right sizing from XYZ is being well received by investors and should boost ST profitability, it seems like an extreme step, and we remain skeptical of XYZ’s longer term growth profile,” the analysts wrote.

Delta Air Lines said it is replacing auxiliary power units (APUs), a type of engine, on its Airbus aircraft to address toxic fume incidents that can harm airline crew and passengers.

The airline confirmed to CBS News Thursday that its replacing engines on more than 300 of its A320s in an initiative that began in 2022. The airline did not comment on the cost of the undertaking, which is more than 90% complete.

Delta is replacing engines that can cause toxic fumes to leak into the aircraft cabin’s air supply, posing health and safety risks to crew members and passengers.

Flight attendants have been calling attention to the issue for years, noting their own experiences with the dangerous toxins.

“I felt like I might die, and I thought, you know, I wonder what my mom is going to think — I went to work, and you know, I may not make it,” flight attendant Vanessa Woods told CBS News in 2016 of breathing in engine fumes on a flight she was crewing.

The leakage of fumes most commonly occurs on the Airbus A320 family of narrowbody jets, a recent Wall Street Journal investigation found.

Breathing in the toxic engine emissions can lead to general nervous system problems, Dr. Robert Harrison, an occupational medicine specialist at the University of California San Francisco who has treated more than 100 flight crew members for exposure to fumes, told CBS News.

Delta on Thursday said it is also exploring new synthetic turbine oils from different manufacturers for its engines.

Reached for comment on the issue, United CEO Scott Kirby recently told CBS News that it is a matter he has “personally been focused on for over a decade.”

United has a “proactive maintenance program” that tracks the plane engine’s oil consumption and oil pressure, and proactively replaces APU seals to prevent oil leaks and oil burns that would lead to fumes entering airplane cabins, Kirby said. The issue, he added, isn’t a concern on newer airplanes, like Boeing 787 Dreamliner, which have a different design.

Barry Biffle, CEO of Frontier Airlines, which operates an Airbus fleet, said that while the company is following the toxic fume issue, incidents occur very rarely.

“In the meantime, we will continue to search for a permanent replacement,” Trump said in a Truth Social post, indicating that the nominee for the full 14-year term on the board could be someone else and Miran may just be in a caretaker role.

“He has been with me from the beginning of my Second Term, and his expertise in the World of Economics is unparalleled — He will do an outstanding job,” Trump added. “Congratulations Stephen!”

In addition to the Kugler vacancy, which officially takes effect Friday, current Chair Jerome Powell’s term expires in May. Likely candidates for that position include current Governor Christopher Waller as well as former Governor Kevin Warsh and National Economic Council Director Kevin Hassett.

Miran’s appointment comes amid continuing speculation that Trump would seek to nominate a “shadow chair” whose job it would be mainly to act as a gadfly on the board. Trump said Wednesday that the nominee for the Kugler seat would be temporary rather than a permanent replacement for Powell.

The president has been pushing for sharply lower interest rates. Miran is a past critic of the Fed, specifically its aggressive stimulus actions during the Covid crisis.

In addition, he is an author of the controversial “Mar-A-Lago Accord,” a plan to devalue the dollar as a way of managing the current account deficit problem for the U.S. He was critical of previous Treasury Secretary Janet Yellen’s decision to purchase short-term Treasurys as a way to manage the national debt.

“By selecting Miran, Trump has made a stop-gap appointment and given himself until January to make the main call,” Marco Casiraghi, senior economist and strategist at Evercore ISI, said in a note. “This way Trump did not tie his hands, keeping his options open regarding the choice of the new Fed governor and especially the new Fed chair.”

Miran still needs Senate confirmation to the seven-person board, something unlikely to happen until the upper house reconvenes in September. The rate-setting Federal Open Market Committee, of which he would be a permanent voting member, meets next Sept. 16-17. Markets widely expect the committee to approve its first cut since December 2024.

With a vote likely weeks away on the nomination, Senate Banking Committee Chairman Tim Scott (S.C.) in a statement praised Miran as “an accomplished economist” who “has been instrumental in advising on economic policy and advancing a pro-growth agenda in his role as CEA Chair.”

Scott, who has been critical of the Fed’s expansion project at two of its Washington buildings, added that he looked forward to “hearing more about his plans to increase transparency and accountability at the Federal Reserve to ensure the agency prioritizes its mandate and avoids politics.”

Prior to serving in the first Trump White House as senior advisor for economic policy under then-Treasury Secretary Steven Mnuchin, Miran was senior strategist at Hudson Bay Capital Management and senior fellow at the Manhattan Institute for Policy Research.

While at Treasury, he played a key role in developing the Paycheck Protection Program following the Covid economic shutdown in 2020. He has since spoke in favor of reciprocal tariffs, which Trump has used extensively this year as part of a global trade war, and he also has been strongly pro-crypto.

In addition to voting on interest rates, Miran’s role as governor would include financial regulation.

However, his most pressing role between confirmation and January could be as an antagonist to Powell.

Trump has fiercely criticized the central bank chief, calling him a barrage of names, requesting his resignation and even mulling the legally questionable possibility of firing him. Current Treasury Secretary Scott Bessent in the past has advocated for a shadow chair, reasoning that even if the Fed does not meet the administration’s demands, Powell’s positions could be counteracted by a dissenting voice on the board who would voice the White House’s positions on monetary policy.

At last week’s FOMC meeting, two governors — Trump appointees Waller and Michelle Bowman — dissented from the decision to hold the overnight funds rate steady. It was the first time multiple governors voted against a rates decision in more than 30 years.

Long the dominant maker of PC chips, Intel has lost market share to Advanced Micro Devices and has made very little headway in AI. Intel shares have fallen by more than half this year as the company struggles with manufacturing challenges and new competition for its central processors.

Intel said in a filing this week that the board’s audit and finance committee approved cost and capital reduction activities, including lowering head count by 16,500 employees and reducing its real estate footprint. The job cuts were originally announced in August.

The Dow contains 30 components and is weighted by the share price of the individual stocks instead of total market value. Nvidia put itself in better position to join the index in May, when the company announced a 10-for-1 stock split. While doing nothing to its market cap, the move slashed the price of each share by 90%, allowing the company to become a part of the Dow without having too heavy a weighting.

The switch is the first change to the index since February, when Amazon replaced Walgreens Boots Alliance. Over the years, the Dow has been playing catchup in gaining exposure to the largest technology companies. The stocks in the index are chosen by a committee from S&P Dow Jones Indices.

It’s been just a few days since Sam Altman, the former CEO of OpenAI, was ousted in a shock move and temporarily replaced by Chief Technology Officer Mira Murati, who served as the firm’s interim chief executive. Now, a new replacement for interim CEO of OpenAI has been named.

After a weekend of rumor and speculation, Emmett Shear — former co-founder and CEO of Twitch — confirmed he will take the top job at probably the most high-profile AI company in the world. In a post on X, formerly Twitter, early Monday, Shear said he got a call from OpenAI asking him to become interim CEO of the company.

“After consulting with my family and reflecting on it for just a few hours, I accepted,” Shear said in the X post. It comes after Altman, who led OpenAI through its development of the wildly popular generative artificial intelligence chatbot ChatGPT, was fired by the OpenAI board.

The reasons behind his departure are unclear, but some insiders had expressed concern that Altman wasn’t the right fit for the company. He is involved in another company, the eyeball-scanning tech company Worldcoin, for example, and there were concerns that this may have served as a distraction.

Who is Emmett Shear?

Shear is a big name in Silicon Valley — but to most people, he is unknown.

Shear took Twitch — the livestreaming site he co-founded with Justin Kan, Michael Seibel, and Kyle Vogt in 2007 — from originally broadcasting the life of Kan 24/7, to a worldwide phenomenon.

Twitch was acquired by Amazon for $1 billion in 2014 and Shear stepped down as CEO of Twitch earlier this year.

During his time at the company, he faced tensions from streamers who believed that the platform wasn’t defending their interests. It found itself locked in a tense battle with rival YouTube for talent, with the latter attracting several high-profile personalities from Twitch with lucrative exclusive broadcasting deals.

After Shear’s departure from the streaming site, he became a partner at Y Combinator, the startup accelerator. Altman was formerly president of Y Combinator.

Before Shear started Twitch, he was the co-founder of Kiko Calendar, a calendar app he worked on through the 2005 Y Combinator program.

In his post Monday on X, Shear explained why he had taken the OpenAI job.

“I had recently resigned from my role as CEO of Twitch due to the birth of my now 9 month old son,” Shear said in the post early Monday.

“Spending time with him has been every bit as rewarding as I thought it would be, and I was happily avoiding full time employment.”

“I took this job because I believe that OpenAI is one of the most important companies currently in existence. When the board shared the situation and asked me to take the role, I did not make the decision lightly. Ultimately I felt that I had a duty to help if I could,” he added.

Why it matters

The swift elevation of Shear to OpenAI’s CEO puts him in charge of one of the most important companies in the AI world today.

OpenAI is known for its popular generative AI chatbot, ChatGPT.

The powerful technology behind that chatbot is called a large language model, or LLM. This is an AI model capable of processing and generating human language, based on training from vast amounts of data.

As head of OpenAI, Shear will likely face pressure from regulators who have been heavily scrutinizing AI model companies given the risks the technology poses around misinformation and potential displacement of jobs.

Earlier this month, the U.K. held a pivotal summit on AI safety, attended by major foundational AI companies, to discuss some of the most pressing issues in the field.

Particularly high on the list of discussion areas for world leaders was the “existential risk” that AI poses to humans.

Altman has himself warned of the threat of AI to eradicate humanity, despite being at the helm of a company that was working on rapidly advancing the technology.

Notably, like Altman and other tech leaders including Elon Musk, Shear has himself made several comments about the potential for AI to eradicate humanity.

On “The Logan Bartlett Show,” a podcast hosted by Logan Bartlett, general partner at Redpoint Ventures, Shear said he think there’s a “5-to-50” chance that AI may wipe out all human life today.

Further to this, Shear also said that the potential of AI going rogue in the future “should cause you to s— your pants.”

He added that a potentially sentient artificial intelligence known as artificial general intelligence or AGI could result not only in the eradication of humanity, but also “potential destruction of all value in the life chain,” and a “universe-destroying bomb.”

“Our take was that they were actually really interested in this,” DuckDuckGo CEO Gabriel Weinberg said, according to a transcript viewed by CNBC of the testimony in federal court last month. “The people we were talking to were generally DuckDuckGo users themselves interested in privacy.”

Weinberg, testifying as part of the Department of Justice’s antitrust case against Google, said DuckDuckGo and Apple had about 20 meetings and phone calls over the course of the negotiations, which lasted from about 2016 through 2019. Throughout that period, Weinberg said Apple’s contract with Google to be the default search engine on its Safari browser “was often the elephant in the room.”

The government is trying to prove that Google’s exclusive contracts with phone and browser makers unfairly locked out rivals from the general search market by depriving them of distribution. Google has denied that its actions violated antitrust law.

DuckDuckGo, which is privately held, makes a privacy-focused search engine that competes directly with Google, as well as other privacy products that seek to limit how websites can track consumers across the internet.

DuckDuckGo first got a response from Apple about its idea to become the default search engine in private browsing in 2016, Weinberg said. DuckDuckGo claims its search engine greatly reduces the amount of tracking that is still possible in other search engines, even while on private browsing mode.

In 2017, DuckDuckGo was able to secure a meeting with Craig Federighi, a senior vice president, at Apple’s headquarters in Cupertino, California to discuss its proposal. DuckDuckGo presented Apple executives with data about what Apple users expect from private browsing mode, which Weinberg said he’d thought “was pretty compelling.”

Weinberg’s team said they could “make DuckDuckGo the best search option on Apple devices for Apple users by integrating their content into search modules” including Apple News, Maps, Music and TV.

Weinberg said he left the meeting with the impression that “it went very well.”

“I’ve pitched lots of things to Apple over the years,” Weinberg testified. “If there’s no interest, their move is basically silence.”

DuckDuckGo executives returned to Cupertino the following summer for another meeting and presented visuals of how the product would look once its search engine was integrated into Apple services.

Weinberg said his “impression was that they were really serious” about the idea “potentially for the next year’s release.” He said that Adler asked them “to come back basically as soon as possible to brainstorm what privacy integrations could look like.”

Separate recently unsealed testimony from Apple’s side tells a somewhat different story.

John Giannandrea, Apple’s senior vice president of machine learning and artificial intelligence and a former Google executive, joined the company in 2018. He testified that he wasn’t aware of Apple considering the search default switch.

Still, he went on to describe discussions with other Apple executives about the potential drawbacks of such a proposal. Giannandrea worried DuckDuckGo’s “marketing about privacy is somewhat incongruent with the details,” since he thought the company would have to share some user information with Microsoft due to its arrangement to receive search information from Bing.

DuckDuckGo says in its privacy policy that it prevents “our hosting and content providers from creating a history of your searches and browsing.”

In September 2018, DuckDuckGo returned to Apple headquarters to discuss integration, Weinberg testified. Apple “expressed they were really considering this for the 2019 release,” and Weinberg then realized they still had some lingering concerns. In particular, Apple realized it need to figure out how to resolve issues tied to its Google contract, Weinberg testified.

Sometime after the 2018 holidays, DuckDuckGo received documentation from Apple showing what its revenue share would be if it were the default. DuckDuckGO estimated its market share “would increase multiple times over” just by becoming the default in private browsing mode.

By the summer of 2019, DuckDuckGo began to understand the partnership would not happen. Apple didn’t announce the integration during its Worldwide Developers Conference in June. Four months later, following a meeting, Weinberg’s takeaway was that the deal was “dead.”

DuckDuckGo had also pitched Samsung, Mozilla and Opera on being the default option in their private browsing modes, but was not able to reach a deal with any of them. The company eventually stopped pursuing this model because it concluded “That each of these companies’ Google contract was the key thing preventing us from getting a deal done with them.”
