<p>&#8220;The stock is called SpaceX, but it might as well be called Elon Musk,&#8221; the &#8220;Mad Money&#8221; host said.</p>
<p>SpaceX has quickly become one of the world&#8217;s most valuable companies following its blockbuster IPO on Friday. Shares surged<strong> </strong>almost 5% Tuesday, pushing the rocket company&#8217;s valuation above several technology heavyweights, including <span class="QuoteInBody-quoteNameContainer" data-test="QuoteInBody" id="NewsShowArticle-QuoteInBody-6">Amazon<span class="QuoteInBody-inlineButton"><span class="AddToWatchlistButton-watchlistContainer" id="-WatchlistDropdown" data-analytics-id="-WatchlistDropdown"><button class="AddToWatchlistButton-watchlistButton" aria-label="Add To Watchlist" data-testid="dropdown-btn"><span class="AddToWatchlistButton-addWatchListFromTag"/></button></span></span></span>, and briefly surpassing <span class="QuoteInBody-quoteNameContainer" data-test="QuoteInBody" id="NewsShowArticle-QuoteInBody-7">Microsoft<span class="QuoteInBody-inlineButton"><span class="AddToWatchlistButton-watchlistContainer" id="-WatchlistDropdown" data-analytics-id="-WatchlistDropdown"><button class="AddToWatchlistButton-watchlistButton" aria-label="Add To Watchlist" data-testid="dropdown-btn"><span class="AddToWatchlistButton-addWatchListFromTag"/></button></span></span></span>. The rally has intensified questions about whether SpaceX&#8217;s roughly $2.5 trillion market value is justified.</p>
<p>Cramer argued, however, that conventional valuation methods miss what many investors are buying.</p>
<p>&#8220;There is no way this company, which could see losses for many years, deserves such a high valuation on its own. It only gets there because it&#8217;s run by Musk,&#8221; he said.</p>
<p>While Musk recently projected that SpaceX could generate $1 trillion in annual revenue by 2030, Cramer argued that the stock&#8217;s appeal extends far beyond any single forecast. Instead, he thinks investors are assigning value to Musk&#8217;s track record of building category-defining businesses and his ability to turn ambitious ideas into commercial opportunities.</p>
<p>&#8220;When you buy SpaceX here, you&#8217;re really buying Elon Musk&#8217;s brain,&#8221; Cramer said. &#8220;I think the cult of Musk is for real.&#8221;</p>
<p>To support that view, Cramer pointed to the breadth of SpaceX&#8217;s businesses and growth initiatives, including its Starlink satellite internet network, reusable rocket operations, and long-term data center ambitions. Adding to that opportunity set, SpaceX announced Tuesday that it will acquire AI coding startup Cursor for $60 billion in stock, deepening its push into artificial intelligence and software development tools. While the company currently operates at a loss and many of these opportunities have yet to fully materialize, Cramer said they could ultimately become significant drivers of future growth.</p>
<p>Cramer suggested that some investors view SpaceX similarly to how previous generations viewed <span class="QuoteInBody-quoteNameContainer" data-test="QuoteInBody" id="NewsShowArticle-QuoteInBody-9">Berkshire Hathaway<span class="QuoteInBody-inlineButton"><span class="AddToWatchlistButton-watchlistContainer" id="-WatchlistDropdown" data-analytics-id="-WatchlistDropdown"><button class="AddToWatchlistButton-watchlistButton" aria-label="Add To Watchlist" data-testid="dropdown-btn"><span class="AddToWatchlistButton-addWatchListFromTag"/></button></span></span></span> under Warren Buffett — a way to gain exposure to a business leader they believe can continue creating value for decades.</p>
<p>While skeptics continue to question the stock&#8217;s valuation, Cramer noted that betting against the rally has been costly so far.</p>
<p>&#8220;While you&#8217;re sitting here trying to justify SpaceX&#8217;s valuation, the buyers are relentlessly pushing it up, and I bet they keep going,&#8221; he said.</p>

<p>PARK CITY, Utah — <span class="QuoteInBody-quoteNameContainer" data-test="QuoteInBody" id="RegularArticle-QuoteInBody-1">Rivian Automotive<span class="QuoteInBody-inlineButton"><span class="AddToWatchlistButton-watchlistContainer" id="-WatchlistDropdown" data-analytics-id="-WatchlistDropdown"><button class="AddToWatchlistButton-watchlistButton" aria-label="Add To Watchlist" data-testid="dropdown-btn"><span class="AddToWatchlistButton-addWatchListFromTag"/></button></span></span></span> CEO RJ Scaringe envisions a day in the not-so-distant future when the electric vehicle maker&#8217;s manufacturing employees will have a new type of colleague: humanoid robots.</p>
<p>&#8220;There&#8217;s going to be thousands of people that are collaborating alongside these robots. They&#8217;re going to be taking pictures, &#8216;Hey, check this out! My co-worker&#8217;s name is Phil, and he&#8217;s a robot,'&#8221; Scaringe said during a media event for the launch of the Rivian R2 EV.</p>
<p>The 43-year-old automotive enthusiast and tech entrepreneur started a robotics company last year called Mind Robotics. The company has raised more than $1 billion, according to Scaringe. </p>
<p>Humanoid robots are designed to be shaped and move like people. Artificial intelligence algorithms power their abilities along with complex hardware like semiconductors. Proponents say they could be used in various settings, from factories to hospitality and even in the home, while others have raised concerns about the devices replacing human jobs.</p>
<p>Scaringe said the company expects to reveal its first product in less than a year, with Rivian as a large minority shareholder and launch customer. Mind currently has roughly 20 open positions ranging from software and hardware engineers to data architects, <a href="https://jobs.ashbyhq.com/mindrobotics" target="_blank" rel="noopener">according to its website.</a></p>

<p>Scaringe, who is executive chair and acting CEO of Mind, told CNBC that the plan is to keep the robotics company separate from Rivian, as opposed to the automaker partially shifting to make humanoid robots, like <span class="QuoteInBody-quoteNameContainer" data-test="QuoteInBody" id="RegularArticle-QuoteInBody-4">Tesla<span class="QuoteInBody-inlineButton"><span class="AddToWatchlistButton-watchlistContainer" id="-WatchlistDropdown" data-analytics-id="-WatchlistDropdown"><button class="AddToWatchlistButton-watchlistButton" aria-label="Add To Watchlist" data-testid="dropdown-btn"><span class="AddToWatchlistButton-addWatchListFromTag"/></button></span></span></span> CEO Elon Musk is doing with his company.</p>
<p>&#8220;We have a deep relationship, and that was actually how we structured it,&#8221; Scaringe said during an interview. &#8220;A big part of structuring the business was to allow me to be able to spend time on both.&#8221;</p>
<p>The robotics strategy adds to a narrative of Scaringe doing things differently than Musk, despite obvious similarities in their companies. There have been enough comparisons that Rivian has even been <a href="https://autos.yahoo.com/new-vehicles-and-reviews/articles/rivian-ceo-says-companys-r2-094600382.html" target="_blank" rel="noopener">called the &#8220;anti-Tesla&#8221;</a> and Scaringe has been referred to as <a href="https://www.ft.com/content/1cab9637-5135-4da8-b0af-a0b56bab84a5" target="_blank" rel="noopener">the &#8220;anti-Elon.&#8221;</a></p>
<p>&#8220;I&#8217;d say there&#8217;s a lot of alignment there, and I think that&#8217;s because, obviously, I&#8217;m biased, but I think they&#8217;re right &#8230; that autonomy is a super important technology,&#8221; Scaringe said about Tesla and Rivian. &#8220;But in terms of the products, they, in many ways, couldn&#8217;t be more different.&#8221;</p>
<p>So far Rivian and Mind are assisting each other, though, much like Musk&#8217;s companies have also done during developmental phases. That includes Musk&#8217;s xAI company merging with SpaceX before the company&#8217;s record-setting initial public offering on Friday as well as SpaceX purchasing vehicles from Tesla.</p>
<p>Scaringe said Rivian will be a &#8220;huge beneficiary&#8221; of Mind, which is using data from Rivian for training its AI models. Along with Rivian&#8217;s equity stake, the automaker will be Mind&#8217;s first customer for the robots. </p>
<p>&#8220;We realized it was such a big opportunity that deserved to be its own company,&#8221; said Scaringe. He said he believes there is a multitrillion-dollar total addressable market for industrial labor.</p>

<p>Scaringe was visibly excited when speaking with media about the potential for AI and humanoid robotics, calling it &#8220;one of the most exciting times, perhaps in human history.&#8221;</p>
<p>&#8220;One hundred years from now, they&#8217;re going to be inheriting the work that we do over our lifetimes, and so I just think we&#8217;re so lucky that we get to be alive at the birth of AI,&#8221; Scaringe said.</p>
<p>Despite the optimism for humanoid robots, Scaringe said he expects the devices to work alongside humans rather than replace them completely for the foreseeable future, saying it takes a &#8220;long time&#8221; for vehicle assembly plants to become <a href="https://www.youtube.com/watch?v=MCBdcNA_FsI" target="_blank" rel="noopener">so-called &#8220;dark factories&#8221;</a> which can be almost entirely run by robots.</p>
<p>&#8220;What I see happening is the simplest tasks will be taken on by robots. The more complex tasks that require higher levels of reasoning or more complex, more tactile levels of dexterity [will be done by humans],&#8221; he said.</p>
<p>Scaringe said manufacturers are dealing with an &#8220;extreme lack of labor,&#8221;  from other automakers. Rivian currently has more than 30 open manufacturing and engineering jobs, according to the <a href="https://careers.rivian.com/careers-home/jobs?categories=Manufacturing%7CManufacturing%20Engineering&amp;page=1" target="_blank" rel="noopener">company&#8217;s website.</a></p>
<p>The need for such workers, as well as the rapid development of AI, Scaringe believes, will mean human employees will be working alongside a robot named &#8220;Phil&#8221; far sooner than they may expect.</p>
<p>&#8220;The rate at which this is moving is far faster than I&#8217;d say — like an order of magnitude faster — than the average person in society understands,&#8221; he said. &#8220;That&#8217;s going to be a particularly big challenge in the short-term to just have the average person … realize how fast the models are learning and how capable they are at doing almost everything.&#8221;</p>

<p>The SpaceX IPO added more than $180 billion to Musk&#8217;s fortune. He is now worth more than the next five richest billionaires in the world combined. His personal net worth is larger than the national GDP of Taiwan, Ireland or Sweden.</p>
<p>Musk&#8217;s coronation as the first person in history to be worth $1 trillion is likely to add fuel to the debate over wealth inequality and the rise in power of America&#8217;s richest tech founders. Along with creating the world&#8217;s first trillionaire, the SpaceX IPO also minted thousands of new millionaires and several new billionaires among the employees and executives who own stock.</p>

<p>Shares of SpaceX gained roughly 20% Friday to close just above $160 apiece. That values the company at more than $2 trillion. </p>
<p>Shares of Tesla rose almost 2% to roughly $406 apiece. </p>
<p>Musk was first declared a billionaire by Bloomberg and Forbes in 2012, with the latter estimating his net worth at $2.4 billion at the time. </p>
<p>His fortune reached $20 billion in 2019 and skyrocketed the following year after a Tesla stock split, making Musk the world&#8217;s fifth centibillionaire — worth more than $100 billion —  by <a href="https://www.forbes.com/sites/hayleycuccinello/2020/08/31/elon-musk-100-billion-net-worth/" target="_blank" rel="noopener">Forbes&#8217; estimate.</a> In the six years since, Musk&#8217;s net worth has grown roughly tenfold. </p>
<p>His fortune has surged by a rate unmatched even by the decade&#8217;s previous &#8220;world&#8217;s richest person&#8221; titleholders: Amazon founder Jeff Bezos, Microsoft co-founder Bill Gates, and Bernard Arnault, head of the luxury empire LVMH. </p>
<p>Google co-founder Larry Page, currently worth an estimated <a href="https://www.forbes.com/profile/larry-page/?list=billionaires" target="_blank" rel="noopener">$295 billion</a>, according to Forbes,<strong> </strong>takes a distant second place among the ranks of the world&#8217;s richest people. </p>
<p>Page is followed by a second Google co-founder, Sergey Brin; Bezos, and Oracle founder Larry Ellison, each worth more than $200 billion as of Friday, according to Forbes.</p>
<p>That said, Gates&#8217; fortune would be a whopping $464 billion had he not given so much away to philanthropy, per <a href="https://www.forbes.com/sites/mattdurot/2026/04/20/reranking-the-worlds-billionaires-by-wealth--and-altruism/" target="_blank" rel="noopener">Forbes</a>&#8216; estimate.</p>

<p>SpaceX filed for an IPO a week ago, and Elon Musk is already creating confusion.</p>
<p>Days before the reusable rocket maker is slated to start pitching its story to investors, Musk took to social network X (which is owned by SpaceX) late Wednesday to explain details of the company&#8217;s recent partnership with competing AI startup Anthropic. His comment included a potentially material aspect about their deal that wasn&#8217;t included in SpaceX&#8217;s 300-plus page IPO <a href="https://www.sec.gov/Archives/edgar/data/1181412/000162828026036936/spaceexplorationtechnologi.htm#id286866c4c474ba490d6531a57db9e93_51" target="_blank" rel="noopener">filing</a>.</p>
<p>Earlier this month, SpaceX said it was leasing unused compute capacity at its Colossus 1 data center in Memphis, Tennessee to Anthropic. Last week&#8217;s prospectus said that Anthropic agreed to pay SpaceX “$1.25 billion per month through May 2029, with capacity ramping in May and June 2026 at a reduced fee.&#8221; The filing also noted, &#8220;The agreement may be terminated by either party upon 90 days&#8217; notice.&#8221;</p>
<p>In his <a href="https://x.com/elonmusk/status/2059880289514696927?s=20" target="_blank">X post</a> Wednesday night, Musk wrote, &#8220;SpaceX has not committed to leasing Colossus for years,&#8221; and called the pact a &#8220;180 day lease with 90 day notice mutual cancellation thereafter.&#8221; The prospectus, however, said nothing about the deal potentially ending in a matter of months. </p>
<p>Whether Anthropic is slated to pay SpaceX $15 billion a year for the next three years or will be spending substantially less over a much shorter period represents a major consideration for prospective investors. SpaceX&#8217;s total revenue in 2025 was just $18.7 billion, and selling compute capacity out of its data center adds an entirely new revenue stream, while putting SpaceX <strong>i</strong>n competition with so-called neocloud providers like <span class="QuoteInBody-quoteNameContainer" data-test="QuoteInBody" id="RegularArticle-QuoteInBody-6">Nebius<span class="QuoteInBody-inlineButton"><span class="AddToWatchlistButton-watchlistContainer" id="-WatchlistDropdown" data-analytics-id="-WatchlistDropdown"><button class="AddToWatchlistButton-watchlistButton" aria-label="Add To Watchlist" data-testid="dropdown-btn"><span class="AddToWatchlistButton-addWatchListFromTag"/></button></span></span></span> and <span class="QuoteInBody-quoteNameContainer" data-test="QuoteInBody" id="RegularArticle-QuoteInBody-7">CoreWeave<span class="QuoteInBody-inlineButton"><span class="AddToWatchlistButton-watchlistContainer" id="-WatchlistDropdown" data-analytics-id="-WatchlistDropdown"><button class="AddToWatchlistButton-watchlistButton" aria-label="Add To Watchlist" data-testid="dropdown-btn"><span class="AddToWatchlistButton-addWatchListFromTag"/></button></span></span></span>. </p>

<p>Some investors are already leery of buying into the largest IPO on record, and backing a company that&#8217;s<strong> </strong>valued at over $1 trillion while burning billions of dollars a quarter. Musk&#8217;s post raises further questions about the company&#8217;s financial disclosures. </p>
<p>&#8220;The odd thing is that either Musk is correct and the S-1 is materially misleading, or the S-1 is correct and Elon is up to his old hijinx,&#8221; said Eric Talley, a professor at Columbia Law School and expert on corporate governance, in an email. &#8220;But more than that it&#8217;s confusing to investors who are trying (best they can) to put a valuation on SpaceX.&#8221;</p>
<p>Anthropic declined to comment for this story, and representatives from SpaceX didn&#8217;t respond to a request for comment.</p>
<p>The Anthropic disclosure isn&#8217;t the only one in SpaceX&#8217;s filing that analysts have highlighted as less than thorough.</p>
<p>Franco Granda, an analyst at PitchBook, catalogued an array of omissions in a report following the publishing of the prospectus.</p>
<p>&#8220;Critical disclosures are missing,&#8221; Granda wrote. He pointed to &#8220;subscriber churn&#8221; as well as &#8220;unit economics&#8221; for the Falcon 9, SpaceX&#8217;s partially reusable rocket, and &#8220;AI segment granularity,&#8221; writing that the company didn&#8217;t break out subscriptions to Grok or X or provide details on the &#8220;utilization rate on 1.0 GW of deployed compute.&#8221;</p>

<h2 class="ArticleBody-subtitle"><a id="headline0"/>Economics of AI</h2>

<p>The AI part of SpaceX is particularly challenging for investors to value. </p>
<p>Musk founded xAI in 2023 to try and take on OpenAI in the booming generative AI market. While xAI remains a niche player in the market, Musk valued the business at $250 billion in February, when he merged it with SpaceX in a deal that gave the combined entity a valuation of $1.25 trillion. </p>
<p>During the first quarter of this year, SpaceX&#8217;s capital expenditures totaled $10.1 billion, more than doubling from a year earlier, with $7.7 billion of that tied to xAI, according to the prospectus. The AI unit, now known as SpaceXAI, recorded a $2.5 billion operating loss in the quarter.</p>
<p>In opting to lease its compute capacity to Anthropic, SpaceX was acknowledging that its own AI models and services haven&#8217;t inspired great demand, and that the company isn&#8217;t in position to take advantage of its costly infrastructure. </p>
<p>Musk said in his post on X Wednesday night that SpaceX wanted to be able to cut the deal short in case it needs the capacity.  </p>
<p>&#8220;We won&#8217;t leave them hanging and will provide a reasonable off-ramp,&#8221; Musk wrote, referring to Anthropic. &#8220;But if compute gets super tight I said we might need it back at some point.&#8221;</p>
<p>Ark Invest&#8217;s Cathie Wood, a SpaceX bull, touted Musk&#8217;s move to monetize compute infrastructure, which cost xAI billions of dollars to build.   </p>
<p>&#8220;Thanks to its deal with Anthropic, XAI, now SpaceXAI, is pivoting from massive losses at Colossus to significant profitability as a neocloud,&#8221; Wood wrote after the deal was announced on May 9. She estimated at the time that the move would bring in $5 billion to $6 billion in annual revenue. </p>
<p>That was before the IPO filing laid out an even bigger number, and well before Musk chimed in this week, effectively acknowledging that the prospectus has shortcomings.</p>
<p>Ann Lipton, a law professor at University of Colorado, said that, as SpaceX amends its S-1 ahead of the offering, it should &#8220;file the tweet with an explanation.&#8221; She said by email that Musk&#8217;s post does appear to contradict the filing, but that the differences may be &#8220;reconcilable.&#8221;</p>
<p>&#8220;Usually this is handled by filing an update separately with the SEC,&#8221; she wrote. </p>

<p>SpaceX is expected to start trading on the Nasdaq in just over two weeks after obtaining a private market valuation of $1.25 trillion earlier this year, when it merged with xAI, Musk&#8217;s artificial intelligence company. <span class="QuoteInBody-quoteNameContainer" data-test="QuoteInBody" id="RegularArticle-QuoteInBody-3">Tesla&#8217;s<span class="QuoteInBody-inlineButton"><span class="AddToWatchlistButton-watchlistContainer" id="-WatchlistDropdown" data-analytics-id="-WatchlistDropdown"><button class="AddToWatchlistButton-watchlistButton" aria-label="Add To Watchlist" data-testid="dropdown-btn"><span class="AddToWatchlistButton-addWatchListFromTag"/></button></span></span></span> market cap currently sits at around $1.6 trillion. </p>
<p>The two companies already have a laundry list of shared resources, and Musk has discussed with colleagues the possibility of folding the companies together, according to people familiar with the talks who asked not to be named due to the sensitivity of the topic.  </p>
<p>A current Tesla employee told CNBC that many workers at the electric vehicle company have long expected such a transaction to eventually take place and that the topic is openly discussed internally. Another person close to the company said that shared challenges tied to power and compute constraints have led to regular collaborations. </p>

<p>While a company launching rockets based on contracts with the government may not seem to have a lot in common with an EV manufacturer, both of the businesses are increasingly focused on AI and the talent and computing resources necessary to build AI infrastructure and services. More than three-quarters of SpaceX&#8217;s $10.1 billion in capital expenditures in the first quarter were tied to AI, and Tesla said in its latest earnings report that capex will roughly triple this year, topping $25 billion. </p>
<p> &#8220;Tesla has to run powerful AI systems inside a moving vehicle with tight limits on power, cooling, latency, reliability and cost,&#8221; said Tomasz Tunguz, a former engineer who&#8217;s now a venture capitalist at Theory Ventures. &#8220;SpaceX has to think about compute in orbit, where radiation, thermal cycling, launch mass, power generation and heat rejection all become existential design constraints.&#8221;</p>
<p>Tunguz said a potential merger has captured the attention of tech enthusiasts in Silicon Valley, but he concedes that a deal of that size would be &#8220;complex.&#8221;</p>
<p>Representatives from SpaceX and Tesla didn&#8217;t respond to requests for comment. </p>
<p>Musk, the world&#8217;s richest person, is set to kick off SpaceX&#8217;s roadshow next week, as he tries to sell Wall Street on the promises of the 24-year-old company that&#8217;s already a big conglomerate. It consists of the reusable rocket business, the Starlink internet satellite service and xAI, which includes social media site X, formerly known as Twitter. SpaceX also has an agreement on the table to purchase AI coding startup Cursor for $60 billion. </p>
<p>&#8220;I think it&#8217;s been proven by Elon himself,&#8221; said Tejpaul Bhatia, a longtime SpaceX investor and CEO of Nebex, a startup that&#8217;s creating the financial infrastructure for space-related transactions. &#8220;Parallel entrepreneurship seems to work for him.&#8221;</p>

<h2 class="ArticleBody-subtitle"><a id="headline0"/>Hefty overlap</h2>

<p>Tesla and SpaceX have spent years pooling resources and even sharing personnel. </p>
<p>Musk sits on both boards, as does venture capitalist Ira Ehrenpreis, founder of DBL Partners. Musk&#8217;s brother Kimbal is currently on Tesla&#8217;s board and used to be a SpaceX director. SpaceX board members Antonio Gracias and Steve Jurvetson previously served on Tesla&#8217;s board. And Charles Kuehmann is vice president of materials engineering for Tesla and SpaceX, joining from <span class="QuoteInBody-quoteNameContainer" data-test="QuoteInBody" id="RegularArticle-QuoteInBody-9">Apple<span class="QuoteInBody-inlineButton"><span class="AddToWatchlistButton-watchlistContainer" id="-WatchlistDropdown" data-analytics-id="-WatchlistDropdown"><button class="AddToWatchlistButton-watchlistButton" aria-label="Add To Watchlist" data-testid="dropdown-btn"><span class="AddToWatchlistButton-addWatchListFromTag"/></button></span></span></span> a decade ago, and is known for playing a key role in troubleshooting key design issues.</p>
<p>In January, Tesla revealed it had invested $2 billion in xAI. Those shares became holdings in SpaceX following that company&#8217;s merger with xAI the following month. </p>
<p>SpaceX said in its <a href="https://www.sec.gov/Archives/edgar/data/1181412/000162828026036936/spaceexplorationtechnologi.htm#id286866c4c474ba490d6531a57db9e93_51" target="_blank" rel="noopener">prospectus</a> that it bought $697 million worth of Tesla&#8217;s Megapack battery energy storage systems in 2024 and 2025 to power the data centers owned and operated by xAI in the area surrounding the company&#8217;s Colossus facilities in Memphis, Tennessee. SpaceX also said it spent $131 million on Tesla Cybertrucks in 2025, purchased at the manufacturer&#8217;s suggested retail price. </p>
<p>Prior transactions between the companies included Tesla selling solar equipment and car parts to SpaceX, Tesla using SpaceX private jets, and Tesla leaning on SpaceX to develop a special alloy for its Cybertruck.</p>
<p>Suppliers sometimes view Musk&#8217;s companies as one big customer. In 2024, Nvidia agreed to divert a $500 million order of GPUs from Tesla to xAI at Musk&#8217;s request. </p>

<p>Legal experts said that a SpaceX-Tesla merger likely wouldn&#8217;t spark antitrust issues but it would potentially raise concerns among shareholders in each of the two companies. Questions around which company would be the parent, how a stock swap would take place, and who determines the appropriate price are among the thorny challenges.  </p>
<p>One thing that&#8217;s almost certain is Musk won&#8217;t have to worry about pushback from SpaceX&#8217;s board, given that the the CEO has 85% voting power. In the risk factors section of its prospectus, SpaceX notes that it&#8217;s a &#8220;controlled company,&#8221; which allows for exceptions when it comes to governance rules and means that Class A shareholders &#8220;will not have the same protections afforded to shareholders of companies that are subject to all of the corporate governance requirements&#8221; of the Nasdaq. </p>
<p>The biggest beneficiary of a tie-up between SpaceX and Tesla could be Musk. </p>
<p>SpaceX has linked Musk&#8217;s compensation rewards to two milestones: achieving a $7.5 trillion market cap and colonizing Mars with at least 1 million inhabitants. Meanwhile, Tesla shareholders approved a pay plan late last year that consists of 12 tranches, with each payout tied to market cap gains and operational achievements. </p>
<p>Ross Gerber, CEO of investment firm Gerber Kawasaki, previously told CNBC that a merger of SpaceX and Tesla would allow Musk to fulfill a dream of running one big company and that it would make it easier to raise and borrow the kinds of cash needed to compete in AI with the likes of <span class="QuoteInBody-quoteNameContainer" data-test="QuoteInBody" id="RegularArticle-QuoteInBody-15">Google<span class="QuoteInBody-inlineButton"><span class="AddToWatchlistButton-watchlistContainer" id="-WatchlistDropdown" data-analytics-id="-WatchlistDropdown"><button class="AddToWatchlistButton-watchlistButton" aria-label="Add To Watchlist" data-testid="dropdown-btn"><span class="AddToWatchlistButton-addWatchListFromTag"/></button></span></span></span>. </p>
<p>Bhatia said a combination would be more about recognizing the opportunity ahead in SpaceX&#8217;s core market. </p>
<p>&#8220;I believe that the space market is huge right now,&#8221; Bhatia said. &#8220;And it&#8217;s just going to get bigger after the SpaceX IPO.&#8221; </p>

<p>As the leaders of the world&#8217;s two most powerful economies rekindled personal ties in Beijing on Thursday and Friday, with a cavalcade of American business leaders accompanying U.S. President Donald Trump, the Chinese capital turned into something of a spectacle. </p>
<p>The visit — the first by a sitting U.S. president to China in nearly a decade — was full of friendly overtures, closely orchestrated pageantry, business dealmaking, and headline-grabbing sideshows that captivated audiences on both sides of the Pacific.</p>
<p>Beijing deployed its diplomatic arsenal to the full. </p>
<p>It laid on brass bands and flower-waving schoolchildren at the airport, a state banquet at the Great Hall of the People, a private tour of the Temple of Heaven, and a closing garden stroll at Zhongnanhai &#8211;  the walled compound where China&#8217;s top leaders have worked and lived since 1949 &#8211; during which Chinese President Xi Jinping offered Trump rose seeds as a parting gift. </p>
<p>&#8220;There were unusually long handshakes, back-patting, smiling, and synchronized walking during public appearances,&#8221; said Lyle Morris, senior fellow for foreign policy and national security at the Asia Society Policy Institute. &#8220;The interaction was warmer and more relaxed than some previous Trump-Xi encounters,&#8221; Morris said. </p>
<p>Crowds gathered along streets near the Four Seasons hotel and the Great Hall for a glimpse of Trump&#8217;s motorcade. &#8220;It was quite a spectacle,&#8221; said Alicia Liao, a university student in Beijing. &#8220;We had an exam the next day, but almost everyone followed the broadcast or social media clips.&#8221;  </p>

<p>Xi hosted Trump at a lavish state banquet at the Great Hall of the People on Thursday, raising a toast before an audience of cabinet officials and executives from some of the two countries&#8217; most successful companies. </p>
<p>In his address, Trump called Xi &#8220;my friend&#8221; and said &#8220;we are going to have a fantastic future together,&#8221; while inviting Xi and First Lady Peng Liyuan to visit the White House in September. </p>

<p>Following his opening remarks, Trump raised a glass — filled with what looked like white wine, though the famously teetotal president likely had an alternative. Protocol for non-drinking leaders, as in the case of George W. Bush, typically involves sparkling cider or juice. The White House didn&#8217;t respond to CNBC&#8217;s request for comments on the contents of Trump&#8217;s glass. </p>
<p>But that gesture of toasting — whatever was in the glass — was widely appraised on Chinese social media as a sign of respect for the host country and its leadership. </p>
<p>In China, Trump is a &#8220;cultural icon and thus a source of conversation, disputes, and inspirations as only he can be,&#8221; said Han Shen Lin, China country director at The Asia Group.  </p>

<p>The menu also read like a work of diplomacy in its own right: a blend of Chinese national dishes and international cuisine, including beef ribs and tiramisu, an apparent nod to Trump&#8217;s culinary preferences. China has for decades used the symbolism of food during landmark official events or when receiving distinguished foreign visitors.</p>
<p>On the banquet&#8217;s sidelines, Chinese CEOs jostled to grab a brief a moment with Elon Musk. Among the guests were ByteDance&#8217;s Liang Rubo, <span class="QuoteInBody-quoteNameContainer" data-test="QuoteInBody" id="RegularArticle-QuoteInBody-6">Lenovo&#8217;s<span class="QuoteInBody-inlineButton"><span class="AddToWatchlistButton-watchlistContainer" id="-WatchlistDropdown" data-analytics-id="-WatchlistDropdown"><button class="AddToWatchlistButton-watchlistButton" aria-label="Add To Watchlist" data-testid="dropdown-btn"><span class="AddToWatchlistButton-addWatchListFromTag"/></button></span></span></span> Yang Yuanqing, and Fuyao Glass Industry Chairman Cao Hui, according to pictures on state broadcaster CCTV. </p>

<p>Musk, seemingly exasperated by the selfie request, raised his eyebrows and huffed before the photo was taken. The moment went viral in China, with many people on social media joking that Lei had been humbled by his hero. The hashtag &#8220;Lei Jun and Musk photo together&#8221; drew more than 20 million views on Weibo. </p>
<p>Footage of Musk spinning in a circle while recording on his phone during a group photo, alongside Nvidia Jensen Huang, Apple&#8217;s Tim Cook, and Defense Secretary Pete Hegseth, also went viral, racking up more than 52 million views on Weibo. &#8220;This scene is unlike anything you&#8217;d see in America,&#8221; one user wrote.</p>
<p>He also brought his six-year-old son X Æ A-Xii, who arrived at the Great Hall in a Chinese-style embroidered vest and a tiger-head-shaped crossbody bag. The bag, marketed by a Guangxi-based artisan brand for around 300 yuan ($44.2), sold out online after videos circulated online. </p>
<p>Commenting under a post about his son&#8217;s outfit on X, Musk wrote in Mandarin: &#8220;My son is learning Mandarin.&#8221; </p>

<h2 class="ArticleBody-subtitle"><a id="headline1"/>Jensen&#8217;s walkabout</h2>

<p>Off the formal schedule on Friday, Nvidia CEO Jensen Huang was spotted strolling through Nanluogu Alley, a historic hutong district in central Beijing, in his signature black jacket, chatting with locals in a mix of English and Mandarin. </p>
<p>Photos of the American tech billionaire slurping noodles in an old Beijing alleyway spread quickly across Chinese social media. </p>
<p>The crowds came fast. Pei Lan, a 58-year-old Beijinger, described elbowing her way to the front for a photo. &#8220;You have to be thick-skinned and rush forward. Very nice, very friendly in person,&#8221; Lan said, referring to Huang. </p>
<p>Huang also tried &#8220;douzhi,&#8221; a traditional Beijing fermented drink known for its distinctively sour, pungent flavor, before stopping for a cup of bubble tea from Mixue, a Chinese beverage chain, according to footage circulated online. </p>

<p>Huang joined Trump&#8217;s delegation as a last-minute addition after initially being left off the list, and boarded Air Force One during a refueling stop in Anchorage after Trump called to invite him. Signs emerged that Nvidia may soon be able to resume sales of its second-most advanced chips to China, after Washington granted export licenses. </p>

<h2 class="ArticleBody-subtitle"><a id="headline2"/>Symbolism over terms</h2>

<p>Trump wrapped up the summit Friday with a private stroll with Xi through Zhongnanhai, where few foreign leaders have been invited to enter. </p>
<p>Walking through a covered passageway with painted archways depicting birds and mountain scenes, Xi spoke about the compound&#8217;s history through a translator, then offered to send rose seeds. &#8220;These are the most beautiful roses anyone&#8217;s ever seen,&#8221; Trump said, according to the White House press pool.  </p>

<p>Out of the Thursday meeting, the two sides agreed to work toward a framework to put the bilateral relationship on a steadier footing for the next three years. The Trump administration said China agreed to purchase more Boeing aircraft, agricultural products, and American oil. Xi told the assembled American CEOs that the door to doing business in China would only open wider.  </p>
<p>The warmth was real — and so were the limits.</p>
<p>Xi warned that differences over Taiwan could lead to &#8220;clashes and even conflicts&#8221; if mishandled, calling it &#8220;the most important issue&#8221; in the bilateral relationship. Export controls, rare earth restrictions, and the unresolved shadow of the Iran war remain on the table. </p>
<p>&#8220;Even the summit&#8217;s modest expectations were left disappointed,&#8221; said Michael Feller, chief strategist at Geopolitical Strategy. &#8220;Reading Beijing&#8217;s signals has been reduced to analysing the menu and orchestration of the official dinner: drunk and twice-boiled chicken – but no tacos – [and] a military band playing YMCA,&#8221; a Trump rally staple.</p>

<p>The first phase of the Musk v. Altman trial concluded proceedings in federal court in Oakland, California, on Thursday after attorneys for Elon Musk and OpenAI presented their closing arguments to the jury.</p>
<p>The nine-person jury, which is made up of six women and three men, will begin deliberating on Monday. The jury’s verdict will be advisory, which means Judge Yvonne Gonzalez Rogers will make the final decision on liability.</p>
<p>“You must decide the case solely on the evidence before you,” Gonzalez Rogers told the jury Thursday morning, in reading out the formal instructions. “You will recall you took an oath to do so.”</p>
<p>Musk sued OpenAI, its CEO Sam Altman and Greg Brockman, the company&#8217;s president, in 2024, alleging they went back on their commitment to keep the artificial intelligence startup a nonprofit and for unjustly enriching themselves. Musk, who co-founded OpenAI alongside Altman and Brockman in 2015, claims the roughly $38 million he donated to the company was used for unauthorized commercial purposes. </p>
<p>During Thursday’s proceedings, Musk’s lawyer, Steven Molo, reiterated his arguments that OpenAI failed to open source its technology, prioritize AI safety and follow nonprofit customs and practices. He also claimed that OpenAI insiders and investors, including Altman, Brockman and <span class="QuoteInBody-quoteNameContainer" data-test="QuoteInBody" id="RegularArticle-QuoteInBody-9">Microsoft<span class="QuoteInBody-inlineButton"><span class="AddToWatchlistButton-watchlistContainer" id="-WatchlistDropdown" data-analytics-id="-WatchlistDropdown"><button class="AddToWatchlistButton-watchlistButton" aria-label="Add To Watchlist" data-testid="dropdown-btn"><span class="AddToWatchlistButton-addWatchListFromTag"/></button></span></span></span>, enriched themselves at Musk’s expense. </p>
<p>Sarah Eddy and William Savitt, attorneys for OpenAI, pushed back on Molo’s statements on Thursday. They said Altman and Brockman never made commitments to Musk about OpenAI’s corporate structure, and that Musk’s donations were spent and used properly. They also noted that the <span class="QuoteInBody-quoteNameContainer" data-test="QuoteInBody" id="RegularArticle-QuoteInBody-10">Tesla<span class="QuoteInBody-inlineButton"><span class="AddToWatchlistButton-watchlistContainer" id="-WatchlistDropdown" data-analytics-id="-WatchlistDropdown"><button class="AddToWatchlistButton-watchlistButton" aria-label="Add To Watchlist" data-testid="dropdown-btn"><span class="AddToWatchlistButton-addWatchListFromTag"/></button></span></span></span> and SpaceX CEO filed the lawsuit only after launching his competing AI startup, xAI.  </p>
<p>“He never cared about the nonprofit structure,” Eddy told the jury. “What he cared about was winning.” </p>
<p><span class="QuoteInBody-quoteNameContainer" data-test="QuoteInBody" id="RegularArticle-QuoteInBody-11">Microsoft<span class="QuoteInBody-inlineButton"><span class="AddToWatchlistButton-watchlistContainer" id="-WatchlistDropdown" data-analytics-id="-WatchlistDropdown"><button class="AddToWatchlistButton-watchlistButton" aria-label="Add To Watchlist" data-testid="dropdown-btn"><span class="AddToWatchlistButton-addWatchListFromTag"/></button></span></span></span> is also named as a defendant in the lawsuit, and attorney Russell Cohen presented the company’s closing arguments to the jury. Musk accused Microsoft, OpenAI&#8217;s principal investor, of aiding and abetting the company&#8217;s purported breach of charitable trust. Cohen said Microsoft had no knowledge of those events and couldn&#8217;t have participated in them. </p>

<p>As the jury starts deliberations on Monday, the second stage of the trial, known as the remedies phase, will also begin. </p>
<p>Gonzalez Rogers will hear arguments about the potential damages and next steps that should be taken if OpenAI, Altman and Brockman are found liable. The jury will not weigh in on this phase.</p>
<p>Musk has asked for a range of outcomes in the lawsuit since it was first filed in 2024. Most recently, he asked the judge to consider removing Altman and Brockman from their roles at OpenAI, and to unwind the company’s 2025 recapitalization. </p>
<p>In January, Musk’s lawyers said their client was entitled to up to $134 billion in damages from OpenAI and Microsoft, calling them “wrongful gains.” His team now says any “ill-gotten gains” should be returned to OpenAI’s foundation.</p>
<p>There will only be a decision in the remedies phase if there’s a finding of liability. </p>
<p>Gonzalez Rogers has presided over prior high-profile technology cases, which could explain why she chose to enlist the help of an advisory jury.</p>
<p>&#8220;Judges normally empanel advisory juries when they either want the community judgment of the jurors or they want &#8216;cover&#8217; in a highly visible case,&#8221; Steven Baicker-McKee, an associate law professor at Duquesne University, told CNBC. </p>
<p>Former President Barack Obama appointed Gonzalez Rogers to U.S. District Court for the Northern District of California in 2011, and she previously oversaw the antitrust case between Epic Games and Apple.</p>
<p>Gonzalez Rogers showed little patience for any shenanigans from the lawyers during the first phase of the Musk v. Altman trial, repeatedly chiding representatives for both parties when they stepped out of line. </p>
<p>“You do not want to be held in contempt I guarantee you,” she warned one lawyer on Tuesday<strong>.</strong></p>
<p>With the jurors, however, Gonzalez Rogers has been warm and friendly, cracking jokes and even bringing them chocolates on one occasion. She concluded Thursday’s proceedings by reminding the jury that lunch will be provided during deliberations. </p>

<p>Nadella, wearing a navy suit with a blue tie, began his testimony by answering questions about his role at Microsoft and the early days of the company&#8217;s strategic partnership with OpenAI.</p>
<p>In 2024,<strong> </strong>Elon Musk sued OpenAI, its CEO, Sam Altman, and its president, Greg Brockman, alleging that they went back on their vow to protect the artificial intelligence company&#8217;s nonprofit structure and follow its charitable mission. Microsoft is named as a defendant in the lawsuit, as Musk accuses the company of aiding and abetting OpenAI&#8217;s purported breach of charitable trust. </p>
<p>Microsoft has been one of OpenAI&#8217;s major backers since 2019, years before the company rocketed into the mainstream with the launch of its ChatGPT chatbot in late 2022. Microsoft&#8217;s more than $13 billion worth of investments in OpenAI, including a $1 billion investment in 2019, a <a href="https://openai.com/index/openai-and-microsoft-extend-partnership/" target="_blank" rel="noopener">$2 billion</a> investment in 2021 and $10 billion in 2023, have come up repeatedly over the course of the trial. </p>
<p>Musk, who testified late last month, said Microsoft&#8217;s $10 billion investment was the key tipping point that made him believe OpenAI was violating its nonprofit mission. He testified that the scale of the investment bothered him, and it prompted him to open a legal investigation into OpenAI. </p>
<p>&#8220;I was concerned they were really trying to steal the charity,&#8221; Musk said from the stand.</p>

<p>Musk co-founded OpenAI alongside Altman, Brockman and a handful of other executives and researchers in 2015. After a number of disagreements about OpenAI&#8217;s direction, including a failed effort to join it with his automaker <span class="QuoteInBody-quoteNameContainer" data-test="QuoteInBody" id="RegularArticle-QuoteInBody-14">Tesla<span class="QuoteInBody-inlineButton"><span class="AddToWatchlistButton-watchlistContainer" id="-WatchlistDropdown" data-analytics-id="-WatchlistDropdown"><button class="AddToWatchlistButton-watchlistButton" aria-label="Add To Watchlist" data-testid="dropdown-btn"><span class="AddToWatchlistButton-addWatchListFromTag"/></button></span></span></span>, Musk left the OpenAI board in 2018. He went on to launch a competing AI startup, xAI, which he merged with SpaceX earlier this year. </p>
<p>OpenAI established a for-profit subsidiary in the months following Musk&#8217;s departure, which allowed the company to raise outside funding more easily. Investors, including Microsoft, have since poured billions of dollars into OpenAI&#8217;s for-profit arm, and the company&#8217;s valuation has swelled to more than $850 billion. </p>
<p>In October, OpenAI completed a recapitalization that cemented its structure as a nonprofit with an equity stake in its for-profit business. As part of that announcement, Microsoft disclosed that it held a roughly 27% stake in OpenAI&#8217;s for-profit unit that was valued at around $135 billion.</p>
<p>The relationship between OpenAI and Microsoft has shown signs of strain in recent months, even as both companies continue to tout it as strategic and core to their businesses. Late last month, the same day that jury selection kicked off in Musk v. Altman, the companies announced a revamped partnership agreement that allows OpenAI to cap revenue share payments and serve customers across any cloud provider.</p>
<p>OpenAI said <a href="https://openai.com/index/next-phase-of-microsoft-partnership/" target="_blank" rel="noopener">in a release</a> that the agreement aimed to &#8220;simplify our partnership and the way we work together.&#8221;</p>
<p>Musk testified that he is not entirely against OpenAI having a for-profit unit, but he said it became &#8220;the tail wagging the dog.&#8221; He repeatedly accused Altman and Brockman of enriching themselves from a charity while also reaping the positive associations that come from running a nonprofit.</p>
<p>&#8220;Microsoft has their own motivations, and that would be different from the motivations of the charity,&#8221; Musk said from the stand. &#8220;All due respect to Microsoft, do you really want Microsoft controlling digital superintelligence?&#8221;</p>
<p>During a videotaped deposition shown in court last week, former OpenAI director Tasha McCauley recalled a discussion with Nadella and her fellow board members after the 2023 decision to dismiss Altman as OpenAI&#8217;s CEO. </p>
<p>&#8220;To the best of my recollection, Satya wanted to restore things to as they had been,&#8221; McCauley said. The board members didn&#8217;t think that was the right move, she said.</p>

<p>A week into the Musk v. Altman trial, which features two towering figures in the tech industry facing off in a case that could have major implications for OpenAI, the plaintiff has made his central message clear to the jury. </p>
<p>&#8220;You can&#8217;t just steal a charity,&#8221; Elon Musk, the world&#8217;s richest person, said repeatedly during his time on the stand at a federal courthouse in Oakland, California. </p>
<p>Musk&#8217;s testimony was the centerpiece of the trial&#8217;s first week. It comes two years after the <span class="QuoteInBody-quoteNameContainer" data-test="QuoteInBody" id="RegularArticle-QuoteInBody-3">Tesla<span class="QuoteInBody-inlineButton"><span class="AddToWatchlistButton-watchlistContainer" id="-WatchlistDropdown" data-analytics-id="-WatchlistDropdown"><button class="AddToWatchlistButton-watchlistButton" aria-label="Add To Watchlist" data-testid="dropdown-btn"><span class="AddToWatchlistButton-addWatchListFromTag"/></button></span></span></span> and SpaceX CEO first <a href="https://storage.courtlistener.com/recap/gov.uscourts.cand.433688/gov.uscourts.cand.433688.32.0_1.pdf" target="_blank" rel="noopener">sued</a> OpenAI CEO Sam Altman and Greg Brockman, the company&#8217;s president, alleging they went back on their promises to keep the artificial intelligence startup a nonprofit and to follow its charitable mission.</p>

OpenAI, now valued at over $850 billion by private investors, has called Musk&#8217;s allegations &#8220;baseless.&#8221; Musk left OpenAI&#8217;s board in 2018, and five years later started xAI as a competitor, before merging that business with SpaceX in February. </p>
<p>The trial began Monday with the seating of a nine-person jury. Attorneys for both parties presented opening arguments on Tuesday. The main event was Musk&#8217;s testimony, which stretched over the course of three days, wrapping up on Thursday. </p>
<p>The courtroom was dark on Friday, and proceedings will resume next week, with Judge Yvonne Gonzalez Rogers, an appointee of former President Barack Obama, presiding over the case. Altman and Brockman are expected to testify later this month. </p>

<p>After Musk left OpenAI, the AI lab began moving more towards commercialization, creating a for-profit subsidiary in 2018. The business started booming after the launch of ChatGPT in late 2022, and the subsequent raising of $10 billion in equity from <span class="QuoteInBody-quoteNameContainer" data-test="QuoteInBody" id="RegularArticle-QuoteInBody-12">Microsoft<span class="QuoteInBody-inlineButton"><span class="AddToWatchlistButton-watchlistContainer" id="-WatchlistDropdown" data-analytics-id="-WatchlistDropdown"><button class="AddToWatchlistButton-watchlistButton" aria-label="Add To Watchlist" data-testid="dropdown-btn"><span class="AddToWatchlistButton-addWatchListFromTag"/></button></span></span></span>. </p>
<p>Musk testified that he is not entirely against OpenAI having a for-profit unit, but he said it became &#8220;the tail wagging the dog.&#8221; He repeatedly accused Altman and Brockman of enriching themselves from a charity while also reaping the positive associations that come from running a nonprofit.</p>
<p>&#8220;What you can&#8217;t do is have your cake and eat it too,&#8221; Musk said from the stand.</p>
<p>Musk said he started OpenAI to serve as a &#8220;counterweight&#8221; to <span class="QuoteInBody-quoteNameContainer" data-test="QuoteInBody" id="RegularArticle-QuoteInBody-13">Google<span class="QuoteInBody-inlineButton"><span class="AddToWatchlistButton-watchlistContainer" id="-WatchlistDropdown" data-analytics-id="-WatchlistDropdown"><button class="AddToWatchlistButton-watchlistButton" aria-label="Add To Watchlist" data-testid="dropdown-btn"><span class="AddToWatchlistButton-addWatchListFromTag"/></button></span></span></span>, which he viewed as having insufficient concerns surrounding AI safety. Musk said he got into an argument about the subject with Google co-founder Larry Page, a former friend, who called him a &#8220;speciesist for being pro-human.&#8221;</p>
<p>Musk said OpenAI wouldn&#8217;t exist without him. </p>
<p>&#8220;I came up with the idea, the name, recruited the key people, taught them everything I know, provided all the initial funding,&#8221; Musk said.</p>

<h2 class="ArticleBody-subtitle"><a id="headline0"/>Musk&#8217;s xAI interests</h2>

<p>During cross-examination, Musk repeatedly clashed with OpenAI lead counsel William Savitt of Wachtell Lipton. He accused Savitt of lying and asking misleading questions that were &#8220;designed to trick&#8221; him. </p>
<p>Savitt asked Musk about his involvement in negotiations to establish OpenAI&#8217;s for-profit arm, as well as what he knew about the nonprofit&#8217;s recent initiatives. He also asked about his competing AI company, xAI, which Musk passed off as being a fraction the size of OpenAI with minimal market share, even though he valued it a $250 billion in the merger with SpaceX.</p>
<p>Musk revealed that it&#8217;s &#8220;partly&#8221; true that xAI used some of OpenAI&#8217;s technology to train its own models, a process known as distilling. He downplayed xAI&#8217;s reliance on OpenAI and said, &#8220;It is standard practice to use other AIs to validate your AI.&#8221;</p>
<p>Musk told the jury that while he had been growing &#8220;uncomfortable&#8221; with Altman and Brockman&#8217;s behavior around 2017, he didn&#8217;t think he had a basis to sue until much later. </p>
<p>&#8220;I would&#8217;ve filed a lawsuit sooner if I thought they&#8217;d stolen the charity sooner,&#8221; Musk said. </p>

<p>In a <a href="https://storage.courtlistener.com/recap/gov.uscourts.cand.433688/gov.uscourts.cand.433688.392.0_2.pdf" target="_blank" rel="noopener">January filing</a>, Musk&#8217;s attorneys said their client should receive up to $134 billion in damages from OpenAI and Microsoft, which is also named as a defendant. Musk&#8217;s team now says any &#8220;ill-gotten gains&#8221; should be returned to OpenAI&#8217;s foundation.</p>
<p>Musk is also seeking to have Altman and Brockman removed from their roles and to &#8220;unwind OpenAI&#8217;s for-profit conversion and restructuring.&#8221; </p>
<p>All that&#8217;s happening while Musk and Altman are pushing their respective companies towards public offerings that could be the largest in history. SpaceX has already filed confidentially with the SEC and is reportedly expected to launch its roadshow in mid-June for an IPO that could value the company in the trillions of dollars. </p>
<p>Following the end of Musk&#8217;s testimony on Thursday, his lawyers called Jared Birchall, who manages Musk&#8217;s family office, as their next witness. </p>
<p>Birchall testified about the specific donations Musk made to OpenAI, as well as his knowledge about Musk&#8217;s multibillion-dollar bid to acquire OpenAI last year. In February of 2025, Musk led a group of investors in offering to buy control of OpenAI for $97.4 billion, an effort that Altman immediately rejected. </p>
<p>Before the proceedings kicked off on Monday, Gonzalez Rogers opted to split the trial into two parts: a liability phase to determine whether any wrongdoing occurred, and a remedies phase to decide the appropriate outcomes and next steps. Gonzalez Rogers expects the former to conclude by May 21</p>
<p>The jury will weigh in during the liability phase only, and its verdict will be advisory, which means Gonzalez Rogers will make the final decision. </p>

<p>The nine-person jury was seated on Monday in the high-stakes legal battle between longtime friends turned rivals Elon Musk and Sam Altman at a federal courthouse in Oakland, California.  </p>
<p>Judge Yvonne Gonzalez Rogers is overseeing the proceedings between the world&#8217;s richest person and the CEO of OpenAI. Opening arguments are scheduled to begin on Tuesday, and CNBC is in the courtroom for the proceedings. </p>
<p><a href="https://storage.courtlistener.com/recap/gov.uscourts.cand.433688/gov.uscourts.cand.433688.32.0_1.pdf" target="_blank" rel="noopener">Musk</a>, who co-founded OpenAI in 2015, <a href="https://storage.courtlistener.com/recap/gov.uscourts.cand.433688/gov.uscourts.cand.433688.32.0_1.pdf" target="_blank" rel="noopener">sued</a> the company, Altman and Greg Brockman, OpenAI&#8217;s president, in 2024, alleging they reneged on their commitments to keep the artificial intelligence lab a nonprofit and follow its charitable mission. OpenAI has repeatedly dismissed Musk&#8217;s lawsuit as &#8220;baseless.&#8221; Musk left OpenAI&#8217;s board in 2018, and five years later started xAI as a rival, merging that company with SpaceX earlier this year. </p>
<p>Musk has sought a number of different remedies over the course of the case, including the removal of Altman and Brockman from their roles at OpenAI. Musk&#8217;s lawyers said in January that he should receive <a href="https://storage.courtlistener.com/recap/gov.uscourts.cand.433688/gov.uscourts.cand.433688.392.0_2.pdf" target="_blank" rel="noopener">up to $134 billion</a> in &#8220;wrongful gains,&#8221; though he has since asked to funnel those funds back into the OpenAI charity. </p>

<p>Gonzalez Rogers opted to <a href="https://storage.courtlistener.com/recap/gov.uscourts.cand.433688/gov.uscourts.cand.433688.477.0_3.pdf" target="_blank" rel="noopener">divide the trial into two parts</a>: a liability phase to decide if any wrongdoing occurred, and a remedies phase to determine the appropriate damages and next steps. The jury will weigh in during the liability phase only, and its verdict will be advisory, which means Gonzalez Rogers will make the final decision in both sections of the trial. </p>
<p>The liability phase of the trial is expected to wrap up by May 21, Gonzalez Rogers said Monday. </p>
<p>Gonzalez Rogers started the proceedings by welcoming the prospective jurors to the courtroom. She cracked some jokes as she explained the case laid out the trial&#8217;s schedule. </p>
<p>Lawyers grilled prospective jurors on their views on AI, Musk and Altman. Some confessed to holding negative views of Musk due to his political ideology.</p>
<p>&#8220;The reality is people don&#8217;t like him,&#8221; Gonzales Rogers said at one point. She expressed confidence that the jurors selected will respect the judicial process and the facts of the case.</p>
<p>Altman and Brockman were in the courtroom on Monday. </p>
<p>Musk alleges in his lawsuit that he was &#8220;assiduously manipulated&#8221; and &#8220;deceived&#8221; by OpenAI, Altman and Brockman and their promises to &#8220;chart a safer, more open course than profit-driven tech giants.&#8221; He has asked the judge to consider unwinding the company&#8217;s recent restructuring, which cemented its structure as a nonprofit with a controlling stake in its for-profit business.</p>
<p>Musk and Altman have been in a public war of words for months leading up to the trial. That continued on Monday, with Musk writing in a <a href="https://x.com/elonmusk/status/2048801964457140540?s=20" target="_blank">post on X</a>, &#8220;Scam Altman and Greg Stockman stole a charity. Full stop.&#8221;</p>
<p>The comment followed a <a href="https://x.com/OpenAINewsroom/status/2048776645142872368" target="_blank">post</a> from the OpenAI Newsroom account.</p>
<p>&#8220;We can&#8217;t wait to make our case in court where both the truth and the law are on our side,&#8221; OpenAI wrote. &#8220;This lawsuit has always been a baseless and jealous bid to derail a competitor.&#8221;</p>
<p>Of the 26 claims that Musk asserted in 2024, only two <a href="https://storage.courtlistener.com/recap/gov.uscourts.cand.433688/gov.uscourts.cand.433688.460.0.pdf" target="_blank" rel="noopener">remain:</a> unjust enrichment and breach of charitable trust. Musk&#8217;s lawyers <a href="https://storage.courtlistener.com/recap/gov.uscourts.cand.433688/gov.uscourts.cand.433688.485.0_1.pdf" target="_blank" rel="noopener">dismissed two of the claims</a>, fraud and constructive fraud, ahead of the trial in an effort to &#8220;streamline the case,&#8221; according to a filing</p>
<p>The trial lands as Musk prepares to take SpaceX public in what&#8217;s likely to be a record IPO and as OpenAI gears up for its own expect public offering later this year. The two companies combined are valued at over $2 trillion on the private market. </p>
