The stock, which is up more than 350% in the past year, slipped in extended trading.

Here’s how the company did relative to LSEG consensus:

Earnings per share: $12.20 adjusted vs. $9.31 expected

Revenue: $23.86 billion vs. $20.07 billion expected

Micron is benefiting from soaring demand for Nvidia graphics processing units that run generative artificial intelligence models. Each generation of Nvidia chip packs in more memory, creating a supply crunch. Micron has been working to add capacity, as have competitors Samsung and SK Hynix.

Revenue in the fiscal second quarter increased from $8.05 billion a year earlier, according to a statement.

For the current period, the company expects about $33.5 billion in revenue, up from $9.3 billion a year ago, implying growth of over 200%. Adjusted earnings per share will be about $19.15, Micron said. Analysts polled by LSEG had expected $12.05 in adjusted earnings per share on $24.3 billion in revenue.

“The step-up in our results and outlook are the outcome of an increase in memory demand driven by AI, structural supply constraints and Micron’s strong execution across the board,” CEO Sanjay Mehrotra said in prepared remarks the company issued at the time of the release.

Micron’s stock has been on a tear. The shares tripled in 2025 and have jumped another 62% year to date as of Wednesday’s close. Among the 10 most valuable U.S. tech companies, Micron is the only one that’s up. Oracle is the leading decliner, down 22%, and Microsoft and Tesla have also seen double-digit percentage drops.

“Looking at how the shares were trading going into this earnings report, I thought the biggest risk was high investor expectations,” said Hendi Susanto, a portfolio manager at Gabelli Funds, in an email. “However, fiscal third-quarter guidance is strong, well above analysts’ and my own expectations.”

Mehrotra said that AI and conventional servers are facing a “lack of adequate DRAM and NAND supply.” That refers to the company’s traditional memory products that have long been used in data centers and devices.

Memory companies have been shifting production capacity largely to high-bandwidth memory, which is embedded onto Nvidia’s latest GPUs and many other chips powering AI. Those products have higher margins.

The company’s GAAP gross margin, the profit left after accounting for the cost of goods sold, more than doubled in the past year to 74.4% from 36.8%, and increased from 56% in the prior quarter.

Net income climbed to $13.8 billion, or $12.07 per share, from $1.58 billion, or $1.41 per share, in the same quarter last year.

Micron said revenue in its cloud memory business rose more than 160% to $7.75 billion. The mobile and client unit saw even steeper growth, with revenue jumping to $7.71 billion from $2.24 billion a year ago.

Memory is typically a commodity business, which comes with lower margins than other silicon products and short-term contracts. In the past few months, memory companies have signed longer-term contracts as semiconductor makers work to ensure future capacity.

“As AI evolves, we expect compute architectures to become more memory-intensive,” the company said in an earnings presentation. “This is why we strongly believe that Micron is one of the biggest beneficiaries and enablers of AI.”

Mehrotra said on the earnings call that volume production of HBM4 for Nvidia’s Vera Rubin started in the fiscal first quarter, and next-generation HBM4e products will ramp in 2027. Nvidia has said it will utilize custom HBM in its next-generation Feynman GPU coming in 2028.

Mehrotra added that capital expenditures will “step up meaningfully” in fiscal 2027, with construction-related costs increasing by over $10 billion.

Micron is building two giant new campuses of fabrication plants in Idaho and New York to increase its memory manufacturing capacity in the U.S. Mehrotra said on the call that initial production at the Idaho site is expected by mid-2027. Micron broke ground in January on the massive $100 billion New York campus, and expects wafer output by the second half of 2028.

On the day before Christmas, when few stocks were stirring, a pricey and pivotal transaction jolted the AI computing race: Nvidia was spending a reported $20 billion to license technology from chip startup Groq and hire key employees, including its CEO, who previously helped Google create what’s become the leading alternative to Nvidia’s AI processors. In the months since, Nvidia’s offensive move has arguably flown under the radar, considering its competitive ramifications in the artificial intelligence gold rush. Perhaps it was lost in the Christmastime shuffle, or in the torrent of other deals and investments that have been flowing from the world’s most valuable company over the past year. That should change next week, when Nvidia holds its annual GTC event, called the GPU Technology Conference in its early days, in San Jose, California. The four-day gathering is a big deal in AI. It takes place at the San Jose McEnery Convention Center, with Monday’s keynote address from Nvidia CEO Jensen Huang held at the nearby SAP Center, where the NHL’s San Jose Sharks play — a venue befitting Jensen’s leather jacket-wearing, rock star-like status. Throughout the week, Nvidia plans to share at least some of its vision for incorporating Groq’s chip technology into its already-dominant AI computing ecosystem. “I’ve got some great ideas that I’d like to share with you at GTC,” Jensen said on the chipmaker’s late February earnings call. Those ideas figure to be among the notable developments at a conference that’s been dubbed the “Super Bowl of AI.” Nvidia is also expected to update us on its roadmap for its bread-and-butter graphics processing units (GPUs), including its next-generation Vera Rubin family. The main reason for the Groq intrigue: Nvidia is likely to harness Groq’s technology to build a brand-new chip targeting the daily use of AI models, a process known as inference, according to Wall Steet analysts. Inference is becoming a larger and more competitive part of the AI computing picture. Plus, it’s the source of revenue for Nvidia’s data center customers. Nvidia’s GPUs are the clear-cut performance leader in the training stage of AI computing, where the models are fed vast amounts of data to be prepared for real-world usage. Nvidia’s dominance in training fueled its meteoric ascent in recent years. The inference market, however, is much more crowded, as AI adoption goes mainstream and customers seek out cost-effective ways to meet the booming demand. Companies are essentially trying to get their hands on whatever kind of chips they can. Advanced Micro Devices , the distant No. 2 maker of GPUs, is finding some traction in inference, recently signing up Meta Platforms as a customer in a splashy partnership announcement . Meanwhile, the custom chips initiatives at large tech companies, including Meta, are generally seen as targeting the inference market. To be sure, Google’s in-house Tensor Processing Units (TPUs) are formidable challengers in both training and inference, and the newfound success of Google’s Gemini chatbot — built on TPUs — has elevated their reputation as Nvidia’s biggest threat. Google co-designs TPUs with Broadcom . Amazon has also touted its in-house Trainium chip’s capabilities in both tasks. Anthropic, the AI startup behind the Claude model, uses Trainium — though, in a reflection of the hunt for any-and-all-kinds of computing, Anthropic is also using TPUs and inked a deal with Nvidia in the fall. Another competitor to know: Cerebras, an AI startup preparing for an initial public offering. For the first time, Oracle co-CEO Clay Magouyrk earlier this week name-dropped Cerebras on its earnings call . Nvidia is no slouch in inference. While perhaps a bit outdated, Nvidia in 2024 disclosed that about 40% of its revenue was from inference. At last year’s GTC, Jensen told analysts that “the vast majority of the world’s inference is on Nvidia today.” And, on Nvidia’s most recent earnings call in late February, finance chief Colette Kress highlighted that industry publication SemiAnalysis recently “declared Nvidia inference king,” noting that its current generation Grace Blackwell GPUs offer massive performance improvements over its predecessor Hopper. Where Groq fits Nvidia evidently saw an opportunity to improve what it brings to the table on inference, otherwise it wouldn’t have shelled out a reported $20 billion for Groq’s technology and talent. Nvidia didn’t outright acquire the entire Groq company, perhaps to avoid antitrust scrutiny. The licensing deal is billed as non-exclusive, and Groq continues to operate an inference cloud service running on its specialized chips (also, in case there was any confusion, the company has no ties to the other Grok, Elon Musk’s AI chatbot). Some important people jumped to Nvidia in the deal, though. The most notable addition is Groq’s founder and now-ex CEO, Jonathan Ross. Before starting Groq in 2016, Ross was part of the Google team that developed the original TPU. Ross now holds the title of chief software architect at Nvidia. Groq developed and brought to market what it called an inference-focused LPU, short for Language Processing Units. In various podcast interviews over the years, Ross has made it clear that Groq didn’t bother trying to compete with Nvidia on training. Instead, he has said, Groq saw inference computing as the place where the startup could innovate and carve out a lane. So, Groq set out to develop a chip for running AI models that prioritizes speed and efficiency at a lower cost. A main reason why Nvidia’s GPUs are so good at training AI models is their ability to perform a massive amount of calculations at the same time, often called parallel processing. Keeping it simple, AI models work to identify patterns within a mountain of training data, and that requires doing a lot of math simultaneously — hence why a GPU is superior for AI training to a traditional computer processor (CPU), which executes tasks sequentially rather than in parallel. Now, another important trait of GPUs is their flexibility, driven in large part by Nvidia’s CUDA software program. Jensen has said that CUDA — short for compute unified device architecture — enables GPUs to perform across all different types of workloads, including inference. When an AI model is deployed for inference and receives a user’s prompt, the model basically refers back to all those learned patterns to determine what the most appropriate response should be, piece by piece (or token by token, in AI parlance). It is making the decision based on the probabilities in its training data. But fundamentally, there is a difference in training and inference computing, and what attributes of a chip are most desirable for each varies. Groq designed its chips to be really good at inference, and in particular, real-time tasks where speed is of the utmost importance. Groq’s LPUs use a type of short-term memory, known as SRAM, that is located directly on the chip’s engine, a driving force behind its speediness. GPUs, on the other hand, use a type of short-term memory called high-bandwidth memory or HBM, which is located right next to the GPU’s engine, not directly on it. The AI boom has created a supply crunch for HBM and set memory prices soaring. “GPUs are really great at training models. When somebody wants to train a model, I’m just like, ‘Just use GPUs. Don’t talk to us,'” Ross said in a podcast interview with wealth advisory firm Lumida in late 2023 . “But the big difference is, when you’re running one of these models — not training them, running them after they’ve already been made — you can’t produce the 100th word until you’ve produced the 99th,” he added. “So, there’s a sequential component to them that you just simply can’t get out of a GPU. … It’s how quickly you complete the computation, not just how many computations you can complete in parallel. And we do the computations much faster.” However, Ross has said he believes Nvidia’s bread-and-butter GPUs and Groq’s technology can complement each other. He made that clear in a separate interview on The Capital Markets podcast , dated February 2025, still many months before he left Groq for Nvidia. “We’re actually so crazy fast compared to GPUs that we’ve actually experimented a little bit with taking some portions of the model and running it on our LPUs and letting the rest run on GPU. And it actually speeds up and makes the GPU more economical. So, since people already have a bunch of GPUs they’ve deployed, one use case we’ve contemplated is selling some of our LPUs to, sort of, nitro boost those GPUs.” That comment really jumped out, as we came across this year-old interview, searching for additional insight into Groq and Ross. Hearing Ross say that long before he joined Nvidia made us even more intrigued to hear Jensen’s vision next week. There are a lot of possibilities for Groq-infused Nvidia hardware. Indeed, as AI advances, it makes sense that Nvidia would branch out into more specialized chips. History suggests that the more advanced a certain technology gets, the more specialization there is. Back on Nvidia’s February earnings call, Jensen indicated that he’s looking at Groq in a similar vein to Mellanox, the networking equipment provider that Nvidia acquired six years ago . “What we’ll do is we’ll extend our architecture with Groq as an accelerator in very much the ways that we extended Nvidia’s architecture with Mellanox,” Jensen said. That acquisition has aged like fine wine because Nvidia’s networking prowess is a crucial ingredient to its success in the AI boom, transforming it into a one-stop shop for AI computing rather than a simple chip designer. In its fiscal 2026 fourth quarter alone, Nvidia’s networking business generated around $11 billion in revenue — roughly the same as AMD’s overall revenue. Nvidia’s better-than-expected companywide revenue in Q4 surged 73% year over year to $68.13 billion. Less than three years ago, Nvidia’s networking revenue was pacing for roughly $10 billion for an entire 12-month period . Now, it’s $11 billion in just three months, exploding alongside its GPU revenue, too. Investors can only hope the Groq transaction ends up being anywhere near as successful as Mellanox. The journey to finding out starts next week. (Jim Cramer’s Charitable Trust is long NVDA, GOOGL, META, AVGO and AMZN. See here for a full list of the stocks.)
AI data center startup Nscale has raised $2 billion at a $14.6 billion valuation, the company announced on Monday, as the AI infrastructure boom continues.

The Series C featured Nvidia and was led by Aker ASA and 8090 Industries. Astra Capital Management, Citadel, Dell, Jane Street, Lenovo, Linden Advisors, Nokia and Point72 also participated.

Nscale is also announcing three new directors on its board, including former Meta COO Sheryl Sandberg, former UK deputy prime minister and Meta executive Nick Clegg and former Yahoo President Susan Decker.

Founded in 2024, Nscale has emerged as a key player in the AI infrastructure buildout, developing data centers and operating cloud computing services.

The UK-based startup has raised a slew of funding in the past year as investors have piled into the sector. It announced a $1.4 billion delayed draw term loan in February and a $1.1 billion Series B in September.

The fresh funds are inclusive of the $433 Million pre-Series C SAFE round in October.

Fresh capital would help accelerate Nscale’s development of vertically integrated AI infrastructure — from GPU compute and networking to data services and orchestration software — across Europe, North America, and Asia, the company said in a statement.

The AI boom is “leading to the largest infrastructure buildout in human history,” said Josh Payne, CEO and founder of UK-based Nscale, echoing past comments from Jensen Huang, CEO at Nvidia, which invested in the round. “We are building this foundation that the market sits on, the engine of superintelligence.”

Nscale is eyeing an initial public offering, the company confirmed to CNBC in October.

The startup, which operates data centers in the U.K., the U.S., Norway, Portugal and Iceland, has inked deals with a number of Big Tech companies in recent times.

The company reported stellar quarterly results, but the numbers were not enough to assuage Wall Street amid an already fragile time for stocks. Companies across many industries, ranging from trucking to software, have been rattled this year on fears of AI disruption to their businesses. Elevated valuations and high capital expenditures have also set a high bar for these names.

“The debate has shifted away from near-term results and toward the sustainability of AI capex spending, amid concerns around its quantum, monetization and potential cashflow degradation,” Richard Clode, portfolio manager at Janus Henderson, told CNBC.

Nvidia’s decline on the day also pressured several other leading chipmakers. Broadcom shares dropped nearly 6%, while Taiwan Semiconductor Manufacturing dropped more than 3%.

Concerns about Nvidia-OpenAI deal

Investors are pointing to Nvidia’s stalling $100 billion deal deal with OpenAI as a pain point for the stock.

Nvidia’s 10-K regulatory filing published on Wednesday states that while the company is “finalizing an investment and partnership agreement” with the maker of ChatGPT, “There is no assurance that we will enter into an investment and partnership agreement with OpenAI or that a transaction will be completed.”

Tom Graff, chief investment officer at Facet, told CNBC that he expects a “bumpy ride” ahead for the stock for at least the next couple of quarters.

He said that the market expected a good quarter from Nvidia after customers like Microsoft and Amazon projected higher spend on data centers, but investors were seeking more insight from the chip giant.

“What we didn’t get were details about the future guidance,” Graff said. “If players like OpenAI might be slowing spending, that would show up in actual revenue one to two quarters from now, so the lack of specificity about the revenue outlook is generating some concerns.”

To be sure, Gil Luria of D.A. Davidson said that Nvidia provided more detailed guidance for the year than it usually does. He told CNBC that he remains optimistic that the company will be making a large investment in OpenAI despite the “confusing” language in the regulatory filing.

‘Odds were stacked against them’

Market participants are also anticipating a potential shift in Nvidia’s AI dominance as the industry pivots away from training-heavy demand toward inference-driven workloads, which some think could beef up competition from alternative chipmakers.

“Where [Nvidia] did miss was easing investors’ concerns about its narrowing moat in the evolving world of compute,” Fundstrat economic strategist Hardika Singh wrote in a note to clients on Thursday. In an interview with CNBC, Singh explained that the report shows “just how emotions, not logic, is driving the stock market right now.” She noted that just because there may be other players in the field, it shouldn’t mean Nvidia can’t emerge a winner.

Singh added that the architecture of Nvidia’s Vera Rubin chip is specifically designed to be very strong for inference.

Similarly, Adam Phillips of EP Wealth Advisors and Dan Hanbury, global strategic equity co-portfolio manager at Ninety One, said they believe the post-earnings Nvidia reaction speaks to investors’ anxiety around the AI trade in recent months.

“The odds were stacked against them,” Phillips, the firm’s managing director of investments, told CNBC. “The bar is just so high right now considering the growth of this firm and the extent to which it’s run here over the last couple of years.”

“It’s becoming harder and harder to impress the Street and I think that many investors are kind of just wondering where things go from here,” he said. “Is all this investment going to pay off?”

Hanbury noted that hyperscalers’ free cash flow levels is another point of scrutiny for investors, given that demand for Nvidia’s core products is affected by hyperscaler spending on AI-related capex.

Strong growth reinforces confidence

Analysts across the Street remain bullish on Nvidia shares. Of the 66 analysts covering the name, 61 rate it a buy or strong buy, per LSEG. Their average price target implies roughly 37% potential upside ahead for the stock, which is little changed on the year.

Janus Henderson’s Clode is optimistic on Nvidia’s upbeat fiscal first-quarter revenue guidance, which came out well above analysts’ forecast. Nvidia’s data center unit also fueled its revenue boom for the latest quarter, bringing in 91% of sales. Data center revenue came in at $62.3 billion for the quarter, ahead of expectations for $60.69 billion, according to StreetAccount.

“The guidance of $78bn in revenues was well ahead of even the most bullish buyside expectations and the fourth straight quarter of accelerating growth in contrast to concerns around a slowdown,” said Clode.

Now Intel is pumping money into the startup as it tries to take on industry leader Nvidia.

SambaNova, a maker of chips for running generative AI models, has agreed to adopt Intel server chips and graphics cards in a multiyear collaboration, according to a Tuesday release. Intel is also participating in a $350 million funding round, after initially investing in SambaNova in 2019.

For years, Nvidia’s graphics processing units have been the silicon of choice for AI model companies like Anthropic and OpenAI, which kickstarted the AI boom with the launch of ChatGPT in late 2022. While Nvidia has been the leading beneficiary of the AI craze and is now the world’s most valuable publicly traded company, Intel’s revenue has declined for four straight years.

Intel is now assembling its own graphics card, Tan said at a Cisco event earlier this month. The stock is up 75% in the past year, largely thanks to massive investments from the U.S. government and Nvidia.

But to become a real player in the AI chip market, Intel needs help. The company previously looked at buying SambaNova for $1.6 billion but talks fell apart, Bloomberg reported in January.

SambaNova counts Hugging Face, Meta and major AI labs as customers. With the new partnership, Intel and SambaNova will work together on sales and marketing to boost adoption.

“We’re not doing all this overnight,” Rodrigo Liang, SambaNova’s co-founder and CEO, told CNBC in an interview. “It’s not like we’re showing up tomorrow with all these things ready, but it’s something that we are doing some good planning work to make sure that we’re actually working this out, and then we’re delivering more streamlined solutions.”

Intel and SambaNova declined to comment on whether the two companies discussed an acquisition.

Tan became SambaNova’s chairman in 2017. Walden International, the venture firm he started in 1987, placed an early bet on the startup, alongside Google’s venture arm. Tan recused himself from discussions about the collaboration, an Intel spokesperson said.

SambaNova is touting a new chip called the SN50 that Liang said delivers higher performance than the GPUs in Nvidia’s B200 systems, based on Blackwell, and provides more computing power for the same price. The company says customers can connect up to 256 of the processors together.

SoftBank, a leading investor in OpenAI, will deploy the SN50 and is an existing SambaNova customer, the startup said.

Liang said SambaNova is well aware of Nvidia’s dominance, but he sees room for other players.

“I think we have to be realistic about the fact that Nvidia is pervasive today, as far as kind of what people like to use, but there are new technologies that are coming out that are going to run those really, really efficiently,” he said. “And if you route that traffic in a heterogeneous environment, like most people are starting to do, you know you’re going to get much better value out of the infrastructure.”

SambaNova wants to expand its own cloud for running AI models and is looking to sell clusters that companies can run in their data centers.

SambaNova’s other investors include private equity firm Vista Equity Partners, Battery Ventures, Cambium Capital, Qatar Investment Authority, Seligman Ventures and T. The PC maker reported quarterly earnings on Tuesday that beat analyst expectations for earnings per share but came up light on overall revenue.

Shares fell 10% in after-hours trading.

Here’s how Dell did for the fiscal third quarter versus LSEG consensus estimates for the quarter ending Nov. 1:

Earnings per share: $2.15 adjusted versus $2.06 expected

Revenue: $24.4 billion versus $24.67 billion expected

Net income climbed 12% to $1.12 billion, or $1.58 per share, from about $1 billion, or $1.36 per share, in the year-ago period. Overall revenue increased about 10% from $22.25 billion a year ago.

Dell said it expected between $24 billion and $25 billion in revenue during the fourth quarter, under LSEG expectations of $25.57 billion. It said it expected $2.50 in adjusted earnings per share, versus expectations of $2.65 per share.

COO Jeff Clark told investors on the earnings call that growth from AI will change from quarter to quarter.

“This business will not be linear, especially as customers navigate an underlying silicon roadmap that is changing,” Clark said.

The company’s shares have risen 86% so far in 2024 as investors realize it’s one of the most important companies selling tools and systems for artificial intelligence developers.

Dell is a top vendor for computer clusters required to develop and deploy artificial intelligence, especially computers based around Nvidia chips. It competes against other server makers such as Supermicro and HPE, as well as manufacturers in Asia.

Demand for Nvidia’s AI accelerators remains high from cloud providers, enterprises, and government institutions, who often buy systems installed with tens of thousands of AI chips. Dell sells the completed systems.

This year, Nvidia CEO Jensen Huang hailed Dell and its founder Michael Dell as the company to contact to place orders for its new Blackwell AI chips.

Dell executives said that some of the demand from its customers was shifting to later quarters, waiting for Nvidia’s next-generation Blackwell chips, which are in production now but have yet to ship to end-users in large quantities.

“We saw in Q3 a pretty rapid shift of the orders moving towards our Blackwell design,” Clark said.

Dell said that many of its AI system growth was already reflected in a $4.5 billion pipeline of future orders.

“We’re only in the very early innings of enterprises learning how to deploy AI,” Clark said.

Dell’s AI server sales are reported in the company’s Infrastructure Solutions Group (ISG), which includes AI servers, storage, networking components, and traditional servers. The group’s revenue rose 34%, mostly driven by AI sales, to $11.4 billion.

The strongest part of Dell’s ISG business was its Servers and Networking subsidiary, which includes AI systems. Revenue rose 58% to $7.4 billion. Dell shipped $2.9 billion in AI servers during the quarter, and the company said during the quarter that customers had booked $3.6 billion dollars of future AI server orders.

The company said increased AI server orders boosted demand by “double digits” for its traditional servers, which are less power-hungry and based around CPU chips from Intel or AMD, and can free up room or power inside data centers for companies investing heavily into AI infrastructure.

The company’s computer storage systems grew less strongly than servers, rising 4% to $4 billion. The overall ISG unit is more profitable, thanks to sales of pricier AI systems.

Dell’s Client Solutions Group, which sells PCs and laptops to consumers and enterprises, declined 1% on an annual basis to $12.1 billion.

While commercial clients buying PCs for their workforce rose 3% on an annual basis to $10.1 billion, the company’s sales from PCs to consumers fell 18% on an annual basis to $2 billion.

Embattled server maker Super Micro Computer said on Monday that it’s hired BDO as its new auditor and submitted a plan to Nasdaq detailing its efforts to regain compliance with the exchange. The shares jumped 37% in extended trading.

“This is an important next step to bring our financial statements current, an effort we are pursuing with both diligence and urgency,” Super Micro CEO Charles Liang said in a statement.

Super Micro is late in filing its 2024 year-end report with the SEC, and said earlier this month that it was looking for a new accountant after its previous auditor, Ernst & Young, stepped down in October. Ernst & Young was new to the job, having just replaced Deloitte & Touche as Super Micro’s accounting firm in March 2023.

Super Micro said it told Nasdaq that it believes it will be able to file its annual report for the year ended June 30, and quarterly report for the period ended Sept. 30. The company said it will remain listed on the Nasdaq pending the exchange’s “review of the compliance plan.”

Shares of Super Micro soared more than twentyfold over a two year period from early 2022 until their peak in March of this year. But the stock has been hammered on troubling news about its compliance with Nasdaq. Once valued at about $70 billion, the company’s market cap was at $12.6 billion at the close on Monday, following a 16% rally during regular trading.

Super Micro has been one of the primary beneficiaries of the artificial intelligence boom, due to its relationship with Nvidia. Sales last fiscal year more than doubled to $15 billion.

On Monday, Super Micro announced that it was selling products featuring Nvidia’s next-generation AI chip called Blackwell. The company competes with vendors like Dell and Hewlett Packard Enterprise in packaging up Nvidia AI chips for other companies to access.

Super Micro was added to the S&P 500 in March, reflecting its rapidly growing business and then-soaring stock price. Less than two weeks after the index changes were announced, Super Micro reached its closing high of $118.81.

The troubles began within months. In August, Super Micro said it wouldn’t file its annual report with the SEC on time. Noted short seller Hindenburg Research then disclosed a short position in the company, and said in a report that it identified “fresh evidence of accounting manipulation.” The Wall Street Journal later reported that the Department of Justice was at the early stages of a probe into the company.

The month after announcing its report delay, Super Micro said it had received a notification from the Nasdaq, indicating that the delay in the filing of its annual report meant the company wasn’t in compliance with the exchange’s listing rules. Super Micro said the Nasdaq’s rules allowed the company 60 days to file its report or submit a plan to regain compliance. Based on that timeframe, the deadline was Monday.

The stock slipped 2.5% in extended trading.

Here’s how the company did in comparison with LSEG consensus:

Earnings per share: 91 cents adjusted vs. 87 cents expected

Revenue: $13.84 billion vs. $13.77 billion expected

Cisco’s revenue dropped 6% in the quarter ended Oct. 26, from $14.7 billion a year earlier, according to a statement. Net income fell to $2.71 billion, or 68 cents per share, from $3.64 billion, or 89 cents per share, in the same quarter a year ago.

Networking revenue plunged 23% to $6.75 billion, slightly below the $6.8 billion consensus of analysts surveyed by StreetAccount.

Security revenue doubled to $2.02 billion, topping the StreetAccount consensus of $1.93 billion. Cisco’s revenue from collaboration was $1.09 billion, a bit below the $1.04 billion consensus estimate.

Cisco CEO Chuck Robbins said on the earnings call on Wednesday that orders from large-scale clients for artificial intelligence infrastructure exceeded $300 million in the quarter. Server makers such as Dell and HPE have also focused on sales of hardware that can help clients implement generative AI.

“We have earned more design wins and remain confident that we will exceed our target of $1 billion of AI orders this fiscal year from web-scale customers,” Robbins said.

Cisco has announced hardware containing Nvidia’s graphics processing units, which are widely used for training AI models, Robbins said.

“Over time, you’ll see us support other GPUs as the market demands,” he said. “But that partnership is still going fine. It’s still early. And I think 2025 is when we’ll start to see enterprise real deployment of some of these technologies.”

For now, enterprises are updating data center infrastructure to prepare for AI and the widespread deployment of AI applications, Robbins said.

U.S. government agencies have delayed deals with Cisco, rather than scrapping them altogether. The Fiscal Responsibility Act of 2023, which became law in June of last year, has limited U.S. government spending, said Scott Herren, Cisco’s finance chief.

Herren said that with Republicans poised to control the White House and both houses of Congress, he expects “to get a budget in place relatively soon.”

During the quarter, Cisco acquired security startups DeepFactor and Robust Intelligence.

Cisco lifted its full-year guidance to $3.60 to $3.66 in adjusted earnings per share on $55.3 billion to $56.3 billion in revenue, up from a prior forecast of $3.52 to $3.58 in EPS and $55 billion to $56.2 billion in revenue. Guidance would indicate projected revenue growth of 3.3% at the middle of the range.

Analysts expected adjusted earnings for the year of $3.58 per share on $55.89 billion in revenue.

As of Wednesday’s close, Cisco’s stock was up 17% year to date, while the S&P 500 index is up around 26% over that stretch.

Super Micro Computer could be headed down a path to getting kicked off the Nasdaq as soon as Monday.

That’s the potential fate for the server company if it fails to file a viable plan for becoming compliant with Nasdaq regulations. Super Micro is late in filing its 2024 year-end report with the SEC, and has yet to replace its accounting firm. Many investors were expecting clarity from Super Micro when the company reported preliminary quarterly results last week. But they didn’t get it.

The primary component of that plan is how and when Super Micro will file its 2024 year-end report with the Securities and Exchange Commission, and why it was late. That report is something many expected would be filed alongside the company’s June fourth-quarter earnings but was not.

The Nasdaq delisting process represents a crossroads for Super Micro, which has been one of the primary beneficiaries of the artificial intelligence boom due to its longstanding relationship with Nvidia and surging demand for the chipmaker’s graphics processing units.

The one-time AI darling is reeling after a stretch of bad news. After Super Micro failed to file its annual report over the summer, activist short seller Hindenburg Research targeted the company in August, alleging accounting fraud and export control issues. The company’s auditor, Ernst & Young, stepped down in October, and Super Micro said last week that it was still trying to find a new one.

The stock is getting hammered. After the shares soared more than 14-fold from the end of 2022 to their peak in March of this year, they’ve since plummeted by 85%. Super Micro’s stock is now equal to where it was trading in May 2022, after falling another 11% on Thursday.

Getting delisted from the Nasdaq could be next if Super Micro doesn’t file a compliance plan by the Monday deadline or if the exchange rejects the company’s submission. Super Micro could also get an extension from the Nasdaq, giving it months to come into compliance. The company said Thursday that it would provide a plan to the Nasdaq in time.

A spokesperson told CNBC the company “intends to take all necessary steps to achieve compliance with the Nasdaq continued listing requirements as soon as possible.”

While the delisting issue mainly affects the stock, it could also hurt Super Micro’s reputation and standing with its customers, who may prefer to simply avoid the drama and buy AI servers from rivals such as Dell or HPE.

“Given that Super Micro’s accounting concerns have become more acute since Super Micro’s quarter ended, its weakness could ultimately benefit Dell more in the coming quarter,” Bernstein analyst Toni Sacconaghi wrote in a note this week.

A representative for the Nasdaq said the exchange doesn’t comment on the delisting process for individual companies, but the rules suggest the process could take about a year before a final decision.

A plan of compliance

The Nasdaq warned Super Micro on Sept. 17 that it was at risk of being delisted. That gave the company 60 days to submit a plan of compliance to the exchange, and because the deadline falls on a Sunday, the effective date for the submission is Monday.

If Super Micro’s plan is acceptable to Nasdaq staff, the company is eligible for an extension of up to 180 days to file its year-end report. The Nasdaq wants to see if Super Micro’s board of directors has investigated the company’s accounting problem, what the exact reason for the late filing was and a timeline of actions taken by the board.

The Nasdaq says it looks at several factors when evaluating a plan of compliance, including the reasons for the late filing, upcoming corporate events, the overall financial status of the company and the likelihood of a company filing an audited report within 180 days. The review can also look at information provided by outside auditors, the SEC or other regulators.

A company spokesperson didn’t respond when asked by CNBC if that report had been received.

If the Nasdaq rejects Super Micro’s compliance plan, the company can request a hearing from the exchange’s Hearings Panel to review the decision. Super Micro won’t be immediately kicked off the exchange – the hearing panel request starts a 15-day stay for delisting, and the panel can decide to extend the deadline for up to 180 days.

If the panel rejects that request or if Super Micro gets an extension and fails to file the updated financials, the company can still appeal the decision to another Nasdaq body called the Listing Council, which can grant an exception.

Ultimately, the Nasdaq says the extensions have a limit: 360 days from when the company’s first late filing was due.

There’s one factor at play that could hurt Super Micro’s chances of an extension. The exchange considers whether the company has any history of being out of compliance with SEC regulations.

Between 2015 and 2017, Super Micro misstated financials and published key filings late, according to the SEC. It was delisted from the Nasdaq in 2017 and was relisted two years later.

Super Micro “might have a more difficult time obtaining extensions as the Nasdaq’s literature indicates it will in part ‘consider the company’s specific circumstances, including the company’s past compliance history’ when determining whether an extension is warranted,” Wedbush analyst Matt Bryson wrote in a note earlier this month. He has a neutral rating on the stock.

History also reveals just how long the delisting process can take.

Super Micro missed an annual report filing deadline in June 2017, got an extension to December and finally got a hearing in May 2018, which gave it another extension to August of that year. It was only when it missed that deadline that the stock was delisted.

In the short term, the bigger worry for Super Micro is whether customers and suppliers start to bail.

Aside from the compliance problems, Super Micro is a fast-growing company making one of the most in-demand products in the technology industry. Sales more than doubled last year to nearly $15 billion, according to unaudited financial reports, and the company has ample cash on its balance sheet, analysts say. Wall Street is expecting even more growth to about $25 billion in sales in its fiscal 2025, according to FactSet.

Super Micro said last week that the filing delay has “had a bit of an impact to orders.” In its unaudited September quarter results reported last week, the company showed growth that was slower than Wall Street expected. It also provided light guidance.

The company said one reason for its weak results was that it hadn’t yet obtained enough supply of Nvidia’s next-generation chip, called Blackwell, raising questions about Super Micro’s relationship with its most important supplier.

“We don’t believe that Super Micro’s issues are a big deal for Nvidia, although it could move some sales around in the near term from one quarter to the next as customers direct orders toward Dell and others,” wrote Melius Research analyst Ben Reitzes in a note this week.

Super Micro’s head of corporate development, Michael Staiger, told investors on a call last week that “we’ve spoken to Nvidia and they’ve confirmed they’ve made no changes to allocations. We maintain a strong relationship with them.”
